COVENANTS AND AGREEMENTS OF PARENT AND BUYER. 6.1 Efforts to Close. From the date hereof through the Closing Date, Parent and Buyer shall use commercially reasonable efforts to take, or cause to be taken, all actions, and shall do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated hereby (including, without limitation, using commercially reasonable efforts to satisfy the conditions to the obligations of Seller under Article 9), and shall cooperate with Seller in connection with the foregoing.
