Covenants of Seller and the Stockholders. Seller and each of the Stockholders, severally and not jointly, covenants and agrees with Purchaser that, at all times from and after the date hereof until the Closing Date, Seller and such Stockholder will comply with all covenants and provisions of this Article VIII, except to the extent Purchaser may otherwise consent in writing and except that neither Seller nor any Stockholder shall be obligated to comply with the covenants and provisions contained in Sections 8.06 and 8.08 unless and until Purchaser delivers the Option Exercise Notice.
