Covenants of the REIT. To induce the Subscriber to tender this subscription offer, the REIT covenants and agrees as follows: (a) to offer, sell, issue and deliver the Units pursuant to exemptions from the prospectus requirements of the Securities Laws and otherwise fulfill all legal requirements required to be fulfilled by the REIT (including without limitation, compliance with all Securities Laws) in connection with this Offering; and (b) to file any documents, reports and information, in the required form and within the prescribed time periods, required to be filed by Securities Laws in connection with this Offering, together with any applicable filing fees.
