Covered Termination Severance Benefits. Upon a Covered Termination, and subject to the limitations and conditions set forth in this Agreement, including Executive’s timely provision of an effective Release and satisfaction of all other conditions set forth in Article 4, Executive shall be eligible to receive the benefits set forth in this Article 2 (in addition to the Accrued Obligations).
Covered Termination Severance Benefits. A Covered Termination of Executive’s employment entitles Executive to receive the benefits set forth in this Section 2.1.
Covered Termination Severance Benefits. If following a Change of Control, Executive's employment terminates due to an Involuntary Termination Without Cause or a Constructive Termination, such termination of employment will be deemed a "Covered Termination". A Covered Termination entitles Executive to receive the following benefits set forth in Sections 2.2 through 2.4 and Sections 2.9 and 2.10.
Covered Termination Severance Benefits. You hereby acknowledge that this Agreement constitutes the Release as defined in Section 4.3 of the Severance Agreement. Provided that you remain in compliance with this Agreement, the Consulting Agreement (as defined below), and the limitations and conditions on benefits as set forth in Article 4 (except for Section 4.5(c)) of the Severance Agreement, you will be eligible to receive the following severance benefits (“Severance Benefits”):
