Creation and Issue of Subscription Receipts. (a) An aggregate of up to 14,250,000 Subscription Receipts, on the terms and subject to the conditions herein provided, are hereby created and authorized for issue at a price of $1.90 for each Subscription Receipt.
(b) One Subscription Receipt shall be issued, without any further act or formality, on the Closing Date, for each $1.90 received by the Corporation as payment therefor and each such Subscription Receipt shall be a fully paid and non-assessable security of the Corporation.
(c) Upon the issue of the Subscription Receipts in accordance with Section 2.1(b), Subscription Receipt Certificates shall be executed by the Corporation and delivered to the Subscription Receipt Agent, certified by the Subscription Receipt Agent upon the Written Direction of the Corporation and delivered by the Subscription Receipt Agent to the Corporation or to the order of the Corporation pursuant to a Written Direction of the Corporation, without any further act of or formality on the part of the Corporation. Registration of interests in Subscription Receipts held by the Depository may be evidenced by a position appearing on the register for Subscription Receipts of the Subscription Receipt Agent for an amount representing the aggregate number of such Subscription Receipts outstanding from time to time.
(d) Each Subscription Receipt issued hereunder will entitle the holder thereof, upon the conversion thereof in accordance with the provisions of Article 4 hereof, and without payment of any additional consideration, to be issued one Special Warrant.
Creation and Issue of Subscription Receipts. (a) Creation of Subscription Receipts: 25,980,000 Subscription Receipts are hereby created and authorized for issuance by the Company for a price per Subscription Receipt equal to the Subscription Price.
Creation and Issue of Subscription Receipts. (a) Creation of Subscription Receipts: 25,900,000 Subscription Receipts entitling the holders thereof to be issued an aggregate of 25,900,000 Special Warrants, on the terms and subject to the conditions herein provided, are hereby created and authorized for issue at a price of $5.00 for each Subscription Receipt.
Creation and Issue of Subscription Receipts. (1) An aggregate of 43,998,590 Subscription Receipts, on the terms and subject to the conditions herein provided, are hereby created and authorized for issue at a price of $1.50 for each Subscription Receipt.
(2) One Subscription Receipt shall be issued on the Closing Date, for each $1.50 received by the Corporation as payment therefor and each such Subscription Receipt shall be a fully paid security of the Corporation.
(3) Each Subscription Receipt issued hereunder will entitle the holder thereof, in accordance with the provisions of Article 4 hereof, and without payment of any additional consideration, to be issued one Unit (subject to adjustment as set out herein). Each Unit will be comprised of one Underlying Share and one-half of one Warrant.
Creation and Issue of Subscription Receipts. (a) Creation of Subscription Receipts: Up to 57,500,000 Subscription Receipts (which includes the maximum number of Subscription Receipts, if any, that may be issued upon the exercise of the Over-Allotment Option) entitling the holders thereof to be issued an aggregate of up to 57,500,000 Units on the terms and subject to the conditions herein provided, are hereby created and authorized for issue at a price of $6.00 for each Subscription Receipt. Fractional Subscription Receipts shall not be issued or otherwise provided for.
Creation and Issue of Subscription Receipts. A maximum of 41,340,625 Subscription Receipts are hereby created and authorized for issuance by CGI at a price of $8.00 (the “Issue Price”) per Subscription Receipt.
Creation and Issue of Subscription Receipts. (a) An aggregate of 22,727,272 Subscription Receipts, on the terms and subject to the conditions herein provided, are hereby created and authorized for issue at a price per Subscription Receipt equal to the Subscription Price.
(b) The Corporation hereby irrevocably directs the Subscription Receipt Agent, immediately following the execution and delivery of this Agreement, in accordance with the written direction of the Corporation and with this Agreement, conditional upon receipt of the Escrow Proceeds by the Subscription Receipt Agent, to Authenticate and deliver one (1) Subscription Receipt Certificate executed by or on behalf of the Corporation representing 22,727,272 Subscription Receipts to the Receiptholder.
(c) Each Subscription Receipt issued hereunder will entitle the holder thereof, upon the conversion thereof in accordance with the provisions of Article 4 hereof, and without payment of any additional consideration, to be issued one (1) Unit comprised of one (1) Share and one (1) Warrant.
Creation and Issue of Subscription Receipts. (1) 19,048,326 Subscription Receipts, on the terms and subject to the conditions herein provided, are hereby created and authorized for issue at a price of $1.05 for each Subscription Receipt.
Creation and Issue of Subscription Receipts. (1) An aggregate of 125,892,857 Subscription Receipts, on the terms and subject to the conditions herein provided, are hereby created and authorized for issue at a price of $0.28 for each Subscription Receipt.
(2) One Subscription Receipt shall be issued, without any further act or formality, on the Closing Date, for each $0.28 received by the Corporation as payment therefor and each such Subscription Receipt shall be a fully paid security of the Corporation.
(3) Each Subscription Receipt issued hereunder will entitle the holder thereof, upon the conversion thereof in accordance with the provisions of Article 4 hereof, and without payment of any additional consideration, to be issued one Subscription Share and one-half of one Warrant (subject to adjustment as set out herein).
Creation and Issue of Subscription Receipts. Upon Torys' receipt of the Escrowed Funds (on behalf of the Subscription Receipt Trustee):
(a) Torys shall confirm receipt of the Escrowed Funds to the Subscription Receipt Trustee;
(b) 8,500,000 Subscription Receipts evidencing the rights of Receiptholders under this Agreement, including Issuance Rights and Refund Rights are hereby created and authorized to be issued by the Corporation. The Subscription Receipt Trustee is hereby appointed registrar and transfer agent for the Subscription Receipts; and
(c) At the written direction of the Corporation, the Subscription Receipt Trustee will execute, issue and deliver Subscription Receipt Certificates to the Receiptholders, registered in accordance with the instructions for such registration received from the Corporation and evidencing the number of Subscription Receipts each Receiptholder has purchased.
