Creation and Issue of Warrants. A maximum of 5,598,775 Warrants (subject to adjustment as herein provided) are hereby created and authorized to be issued in accordance with the terms and conditions hereof. Creation and Issue of Warrants. (1) The Corporation hereby creates and authorizes the reservation for issue and, as applicable, the issuance of the Warrants as of the date hereof and at any additional closings, with the aggregate number of Warrants to be issued not to exceed 9,277,500 Warrants.
(2) The Warrant Agent is hereby appointed Warrant Agent in respect of the Warrants.

(2) Subject to the terms and conditions of this Agreement, and subject to any adjustment hereunder, a total of 31,300,000 share purchase warrants (or 35,837,500 share purchase warrants if the Over-Allotment Option is exercised in full) entitling the holders thereof to acquire up to 31,300,000 Shares (or 35,837,500 Shares if the Over-Allotment Option is exercised in full) are hereby created (together with any additional Warrants pursuant to further issuances by the Corporation in order to facilitate or following the Qualifying Transaction, if applicable, which additional Warrants will be documented by way of a treasury direction provided by the Corporation to the Warrant Agent) and authorized to be issued hereunder upon the terms and conditions herein set forth and shall be executed. For greater certainty, the number of Warrants authorized to be issued hereunder shall be unlimited.
