Credit PIF and Add-On PIF. Developer agrees to impose the Credit PIF and the Add-On PIF and to irrevocably assign the PIF Revenues to the District. Prior to the issuance of any District Bonds, the District agrees to cause the PIF Revenues to be remitted to the Escrow Agent in accordance with Section 3.8. Upon the issuance of any District Bonds, the District agrees to pledge the PIF Revenues exclusively to the District Bonds until the District Bonds are paid in full or defeased. The Developer shall terminate the Credit PIF upon the earlier to occur of (a) payment in full or defeasance of all outstanding District Bonds, or (b) in the event that no District Bonds are issued, payment or reimbursement of the Eligible Costs to the Developer or District from amounts on deposit with Escrow Agent in an aggregate principal amount of $28,800,000, plus the payment or reimbursement of all Town Costs and Pre-Financing Costs in amounts not exceeding the amounts set forth in Sections 4.3(b)(iii) and 4.3(b)(iv). The Developer, at its election, may discontinue, continue, increase or decrease the Add-On PIF following termination of this Agreement.

Credit PIF and Add-On PIF. Developer agrees to impose the Credit PIF , the Accommodations PIF, and the Add-On PIF prior to any Taxable Sales occurring, and upon issuance of the District Bonds, to irrevocably assign the Pledged PIF Revenue to the District or to the District Bond Trustee, through and until the payment in full or defeasance of the District Bonds, provided however, that the Credit PIF shall terminate in accordance with the Credit PIF Covenant on or before ten years from the date the Credit PIF is first collected, and the Accommodations Credit PIF shall terminate in accordance with the Accommodations PIF Covenant on or before thirteen years from the date the Accommodations Credit PIF is first collected, or upon the Tax Credit Termination Date as defined in Section 3.2(a), whichever first occurs. Following payment in full or defeasance of the District Bonds, the Developer, in its sole discretion, may discontinue, continue, increase, or decrease the Add-On PIF and (subject to Section 3.2(b)) Credit PIF and Accommodations Credit PIF, and use the PIF Revenues for any legal purpose.

  • Modifications and Add-ons Subject to the licensing of the required development rights under separate agreement, Provider shall be entitled to develop Modifications and Add-ons for the Software and shall be permitted to Use Modifications and Add- Ons with the Software in accordance with the license grant to the Software set forth in Section 3.1 herein. Provider shall promptly notify SAP if and when Provider is planning to develop Modifications or Add-ons to the Software. The notification provided by Provider shall include a high level description of the intended functionality and of the timeframe planned for such development. In addition, any Modifications or Add-ons must not i) unreasonably impair, degrade or reduce the performance or security of the Software; ii) enable the bypassing or circumventing of SAP license restrictions and/or provide users with access to the Software to which such users are not directly licensed; and/or iii) permit mass data or metadata extraction from an SAP software to a non-SAP software for the purpose of replacing the Software as the data’s system of record. With regards to the aforementioned item iii), Provider shall refer any Customer requiring such information to SAP.

  • CREDIT UNION LIABILITY FOR FAILURE TO MAKE TRANSFERS If we do not complete a transfer to or from your account on time or in the correct amount according to our agreement with you, we may be liable for your losses or damages. However, we will not be liable for direct or consequential damages in the following events: - If, through no fault of ours, there is not enough money in your accounts to complete the transaction, if any funds in your accounts necessary to complete the transaction are held as uncollected funds pursuant to our Funds Availability Policy Disclosure, or if the transaction involves a loan request exceeding your credit limit. - If you used your card or access code in an incorrect manner. - If the ATM where you are making the transfer does not have enough cash. - If the ATM was not working properly and you knew about the problem when you started the transaction. - If circumstances beyond our control (such as fire, flood, or power failure) prevent the transaction. - If the money in your account is subject to legal process or other claim. - If funds in your account are pledged as collateral or frozen because of a delinquent loan. - If the error was caused by a system of any participating ATM network. - If the electronic transfer is not completed as a result of your willful or negligent use of your card, access code, or any EFT facility for making such transfers. - If the telephone or computer equipment you use to conduct audio response, online/PC, or mobile banking transactions is not working properly and you know or should have known about the breakdown when you started the transaction. - If you have xxxx payment services, we can only confirm the amount, the participating merchant, and date of the xxxx payment transfer made by the Credit Union. For any other error or question you have involving the billing statement of the participating merchant, you must contact the merchant directly. We are not responsible for investigating such errors. - Any other exceptions as established by the Credit Union.

  • Financial Security Arrangements At least 20 Business Days prior to the commencement of the design, procurement, installation, or construction of a discrete portion of the Connecting Transmission Owner’s Interconnection Facilities and Upgrades, the Interconnection Customer shall provide the Connecting Transmission Owner, at the Interconnection Customer’s option, a guarantee, a surety bond, letter of credit or other form of security that is reasonably acceptable to the Connecting Transmission Owner and is consistent with the Uniform Commercial Code of the jurisdiction where the Point of Interconnection is located. Such security for payment shall be in an amount sufficient to cover the costs for constructing, designing, procuring, and installing the applicable portion of the Connecting Transmission Owner’s Interconnection Facilities and Upgrades and shall be reduced on a dollar-for-dollar basis for payments made to the Connecting Transmission Owner under this Agreement during its term. The Connecting Transmission Owner may draw on any such security to the extent that the Interconnection Customer fails to make any payments due under this Agreement. In addition:
