Common use of Currency; Foreign Payments Clause in Contracts

Currency; Foreign Payments. If any currency conversion will be required in connection with the calculation of any payment hereunder, such conversion will be made by using the exchange rate for the purchase of U.S. dollars as published in The Wall Street Journal, Eastern Edition, on the date of the payment. If at any time legal restrictions prevent the prompt remittance of any payments in any jurisdiction, RedHill may notify Apogee and make such payments by depositing the amount thereof in local currency in a bank account or other depository in such country in the name of Apogee or its designee, and RedHill will have no further obligations under this Agreement with respect thereto.
