Common use of Custodian Certifications Clause in Contracts

Custodian Certifications. (a) No later than 9:00 AM (Central Time) on the Business Day prior to each Commencement Date, the Custodian shall deliver to the Owner and the Servicer an Initial Certification to the effect that, as to each Mortgage Loan listed in the related Mortgage Loan Schedule (other than any Mortgage Loan paid in full or any Mortgage Loan specifically identified in such certification as not covered by such certification): (i) all documents required to be delivered to it pursuant to Exhibit A of this Agreement are in its possession; (ii) such documents have been reviewed by it and appear regular on their face and relate to such Mortgage Loan; (iii) based on its examination, the information set forth on the Mortgage Loan Schedule respecting such Mortgage Loan is correct; and (iv) each Mortgage Note has been endorsed as provided in paragraph (a) of Exhibit A of this Agreement and an Assignment of Mortgage has been completed as provided in paragraph (e) of Exhibit A of this Agreement. The Custodian makes no representations as to: (i) the validity, legality, enforceability or genuineness of any of the Mortgage Loans identified on the Mortgage Loan Schedule, or (ii) the collectability, insurability, effectiveness or suitability of any Mortgage Loan.
