Common use of CUSTODIAN’S CERTIFICATE Clause in Contracts

CUSTODIAN’S CERTIFICATE. State Street Bank and Trust Company, as custodian for the Acquired Fund (the "Custodian"), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing Date; and (b) all necessary taxes including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

CUSTODIAN’S CERTIFICATE. State Street Bank and Trust Company, as custodian for the Acquired Fund (the "“Custodian"”), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's ’s portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing Date; and (b) all necessary taxes including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

CUSTODIAN’S CERTIFICATE. The Acquired Fund shall direct State Street Bank and Trust Company, as custodian for the Acquired Fund (the "Custodian"), shall to deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing DateEffective Time; and (b) all necessary taxes taxes, including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

CUSTODIAN’S CERTIFICATE. The Acquired Fund shall direct State Street Bank and Trust Company, as custodian for the Acquired Fund (the "“Custodian"”), shall to deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's ’s portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing DateEffective Time; and (b) all necessary taxes taxes, including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

CUSTODIAN’S CERTIFICATE. State Street Bank and Trust Company, as custodian for the Acquired Selling Fund (the "Custodian"), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Selling Fund's portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing Date; and (b) all necessary taxes including all applicable federal and state stock transfer stamps, if any, any shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Selling Fund.

CUSTODIAN’S CERTIFICATE. State Street U.S. Bank and Trust CompanyN.A., as custodian for the Acquired Fund (the "Custodian")Fund, shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's ’s portfolio securities, cash, and any other assets shall have been delivered in proper form to the Acquiring Fund on the Closing Date; and (b) all necessary taxes taxes, including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

State Street The Bank and Trust Companyof New York Mellon, as custodian for the Acquired Fund (the "“Custodian"”), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's ’s portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing Date; and (b) all necessary taxes including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

State Street Bank and Trust CompanyUnion Bank, N.A., as custodian for the Acquired Fund (the "“Custodian"”), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's ’s portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing Date; and (b) all necessary taxes including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

CUSTODIAN’S CERTIFICATE. State Street Bank and Trust Company, as custodian for the Acquired Reorganizing Fund (the "“Custodian"”), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Reorganizing Fund's ’s portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Surviving Fund on the Closing Date; and (b) all necessary taxes including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Reorganizing Fund.

CUSTODIAN’S CERTIFICATE. State Street The Bank and Trust Companyof New York Mellon, as custodian for the Acquired Fund (the "?Custodian"?), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Fund's Fund?s portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Fund on the Closing Date; and (b) all necessary taxes including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment shall have been made, in conjunction with the delivery of portfolio securities by the Acquired Fund.

CUSTODIAN’S CERTIFICATE. State Street Bank and Trust Company, as custodian for the Acquired Reorganizing Fund (the "“Custodian"”), shall deliver at the Closing a certificate of an authorized officer stating that: (a) the Acquired Reorganizing Fund's ’s portfolio securities, cash, and any other assets have been delivered in proper form to the Acquiring Surviving Fund on the Closing Date; and (b) to the extent applicable, all necessary taxes taxes, including all applicable federal and state stock transfer stamps, if any, shall have been paid, or provision for payment payment, shall have been made, in conjunction connection with the delivery of the portfolio securities by of the Acquired Reorganizing Fund.

CUSTODIAN’S CERTIFICATE.
