Customer Provided Materials. (i) Customer will provide Brammer with sufficient amounts of the Customer Provided Materials with which to perform the Services as specified in the Work Statement. Unless the Work Statement includes the development of a manufacturing process by Brammer, Customer also will provide Brammer with all necessary Confidential information in Customer’s possession and control to effect the reliable transfer of the Process from Customer to Brammer.
(ii) Customer Provided Materials will be delivered by Customer to the Facility at no cost to Brammer. Unless otherwise agreed by the Parties, Customer will deliver the Customer Provided Material in quantities sufficient to meet the expected requirements of Product Manufacturing.
(iii) Customer will provide Material Safety Data Sheets for all Customer Provided Materials and for each Product that are, in each case, accurate and complete to the best of Customer’s knowledge having taken all appropriate steps to inform itself of the same. Customer will notify Brammer of any unusual adverse health or environmental occurrence relating the Customer Provided Materials, and any Product, including but not limited to any claim or complaint by any Customer employee or Third Party.
(iv) Customer Provided Materials will remain the sole property of Customer at all times during the term of this Agreement, but will remain in the possession, control and care of Brammer following delivery of such Customer Provided Materials by Customer to the Facility. Brammer will use and store the Customer Provided Materials with due care and in compliance with Customer’s instructions as set forth in the applicable Work Statement. Title and risk of loss or damage to such Materials will at all times remain with Customer, and Brammer will have no liability to Customer for such Materials except due to Xxxxxxx’x negligence, breach of this Agreement or failure to comply with Applicable Laws.
Customer Provided Materials. With respect to any materials, documentation, and software that Customer provides to NI for the purpose of providing Services to Customer (“Customer Provided Materials”), Customer represents that: (i) Customer has the right to provide the Customer Provided Materials to NI for such purpose; (ii) the Customer Provided Materials do not contain or generate any computer “viruses,” “time bombs,” “worms,” “trap doors,” or other programs, software, information, instructions, code, or commands designed or likely to cause damage to, or enable or facilitate unauthorized access to, software, data, or files; (iii) unless otherwise first agreed in writing by NI, the Customer Provided Materials do not contain or generate any programs, software,or code that is subject to a license that requires, or purports to require, as a condition of use, modification, or distribution, that (a) the code that is or could become subject to the license, be disclosed or distributed in source code form, or (b) others have the right to modify or create derivative works of the code that is or could become subject to the license.
Customer Provided Materials. Xxxxxxx will not transfer any Customer Provided Materials to any Third Party without Customer’s written permission, unless such transfer is to an Approved Vendor, is consistent with the Program and is for use only for activities set out in the relevant Work Statement
Customer Provided Materials. You shall be responsible for:
(a) providing all text used on Your Website;
(b) providing all Consents, Privacy Policies, Terms of Service and other contractual or legal requirements for Your Website as may be necessary or appropriate under applicable law. You may provide also images to be included on Your Website in lieu or in addition to images provided as part of the Provider Materials and the Services. All such text, documents and images provided by You are referred to herein as “Customer Provided Materials”.
Customer Provided Materials. Customer will provide all Customer-Provided Materials necessary for the performance of the applicable Professional Services. As between Customer and Metric Insights, Customer owns all right, title, and interest in and to the Customer-Provided Materials. Customer represents and warrants that it has the necessary rights to provide the Customer-Provided Materials to Metric Insights for the purposes for which such materials are provided. Customer grants to Metric Insights a non-exclusive, non-transferable license and right to use, copy, and modify the Customer-Provided Materials as necessary and appropriate to perform the Professional Services.
Customer Provided Materials. (1) In the event that Customer or its end-users provide software, code, services, information, content, data or other materials (“Customer-Provided Materials”) to be utilized with the Services, Customer represents and warrants that (i) it has all necessary rights and permissions for its and Contour’s use of the Customer-Provided Materials, and (ii) it will comply with any third-party terms and conditions applicable to its use of the Customer- Provided Materials. Customer-Provided Materials are not included in any Contour-provided warranties or service level commitments.
Customer Provided Materials. (1) As part of its use of the Services, Customer may provide Customer-Provided Materials to Contour. Customer gives Contour a royalty-free, worldwide, non-exclusive, non- transferable (except in connection with a permitted assignment of this Agreement), non- sublicensable (except to Service Providers), limited license to use, reproduce, modify, transmit, perform, translate. distribute and display Customer-Provided Materials, in connection with the provision of the Services and/or Contour Software. Except as contemplated by this Agreement, Customer reserves all right, title and interest in and to Customer-Provided Materials. Customer is solely responsible for all Customer-Provided Materials. Customer may not resell the Services.
Customer Provided Materials. Prior to each Calendar Quarter, Brammer shall inform Customer of the quantity of Customer Provided Materials and the timing for such Customer Provided Materials to be delivered to Brammer, in each case, necessary for Brammer to comply with its obligations to Manufacture the quantities of Product in the Purchase Order applicable for such Calendar Quarter by the Delivery Date set forth in such Purchase Order. Customer will ensure that all documents provided to Brammer, including those related to Customer’s Process and Customer Provided Materials, are in English (it being understood that Customer will be responsible for translating any such document that is in any foreign-language to English).
Customer Provided Materials. Customer will provide Brammer with sufficient amounts of the Customer-Provided Materials with which to perform the manufacture and supply of the Product ActiveUS 170335185 as set forth in the applicable Product Addendum. Customer will ensure that all documents provided to Brammer, including those related to Customer’s Process and Customer-Provided Materials, are in English. Customer will be responsible for translating any foreign-language document to English.
Customer Provided Materials. Brammer will not transfer any Customer Provided Materials to any Third Party without Customer’s written permission, unless such transfer is to an Approved Vendor, is consistent with the Program and is for use only for activities set out in the relevant Work Statement
