Product Materials. Zeltiq shall provide Distributor the Product Materials that Zeltiq generally provides to other distributors of the Products. All such materials shall be provided in the English language. Upon reasonable request by Distributor, Zeltiq agrees to supply all necessary documentation to enable Distributor to comply with Government regulations in the Territory, including but not limited to safety testing documentation, clinical trial results, hazard and risk analysis documents and copies of Zeltiq’s technical file with respect to the Products.
Product Materials. Subject to the terms and conditions of this Agreement, each Party hereby grants to the other Party a fully-paid up, royalty-free license, with the right to grant sublicenses under multiple tiers, to use Product Materials generated and owned by such Party, for the Development, Manufacture (with respect to Beijing SL, solely to the extent applicable under Section 7.2) and Commercialization of the Compound and Licensed Product in the other Party’s respective territory during the Term of this Agreement.
Product Materials. Vendor will provide to Dealer, at no charge, Product samples, adequate copies of any marketing and technical information, service manuals, detailed Product specifications, end-user warranties and other Product data and materials.
Product Materials. In consideration of this Agreement and to assure that Ceribell will be able to obtain support and/or supply of the Products if support and/or supply of the Products is interrupted or discontinued for any reason, Supplier understands that Ceribell needs access and a license to all materials and information necessary for the manufacture, supply and support of the Product(s), including without limitation all designs, data, schematics, manuals, Software tools (debugging, support, test and validation), hardware tools, libraries, specifications, and other materials necessary to allow a reasonably skilled third party to use, initialize, operate, integrate, manufacture, supply, maintain, test and support the Product (the “Product Materials”). Product Materials. The Wholesale Servicer will not use, and will not permit any of the Associates to use, any product materials other than those provided by MLOA or approved in writing by MLOA. MLOA will file such materials or will cause such materials to be filed with the SEC and FINRA, and applicable state securities regulatory authorities, as required. For purposes of this Agreement, all references to product materials shall include, without limitation, advertisements (such as material published, or designed for use in, a newspaper, magazine or other periodical, radio, television, telephone or tape recording, videotape display, signs or billboards, motion pictures or other public media), product literature (i.e., any written communication distributed or made generally available to customers or the public, including brochures, circulars, research reports, market letters, form letters, seminar texts, reprints or excerpts of any other advertisement, product literature or published article), prospectuses, applications and other forms, and educational or training materials or other communications distributed or made generally available to or approved for use by the Wholesale Servicer. MLOA reserves the right to require at any time for any reason the recall of any material approved by them, and the Wholesale Servicer shall promptly comply with any such request, shall not use such material thereafter and shall forward notice of such request to the Brokers- of-Record.
Product Materials. (a) Santarus will be responsible for the development of all Product Materials related to the use of the Licensed Products in the Field in the Territory and shall own all right, title, and interest in and to any intellectual property in the Product Materials, excluding any Corporate Marks of Shore marked thereon.
Product Materials. DISTRIBUTOR shall sell Product in the same containers and with the same labeling and packaging as provided by RSM or otherwise approved by RSM, and in all other respects in the same condition as when delivered to DISTRIBUTOR by RSM. DISTRIBUTOR will not use any promotional materials with respect to Product other than those provided by RSM or approved by RSM under Section 4.4.

Each Party will, at its cost and expense, be responsible for preparing, developing, producing, or otherwise obtaining, and utilizing promotional materials, training materials, medical education materials, Packaging and Labeling, and all other literature or other information related to the Licensed Products (“Product Materials”) to support its Commercialization and Medical Affairs activities in such Party’s Territory, which Product Materials will at all times [***]. From time to time, and in any event upon Otsuka’s request, Ionis will share with Otsuka samples of Product Materials Controlled by Ionis and which are used by Ionis, its Affiliates, or licensees in connection with the Commercialization of or conduct of Medical Affairs activities for the Licensed Products. From time to time, and in any event upon Xxxxx’ request, Otsuka will share with Ionis samples of Product Materials Controlled by Otsuka and which are used by Otsuka, its Affiliates or sublicensees in connection with the Commercialization of or conduct of Medical Affairs activities the Licensed Products in the Otsuka Territory.
