Common use of Customer Representations and Warranties Clause in Contracts

Customer Representations and Warranties. Customer represents and warrants that: (a). if Customer is a natural person, Customer is of sound mind, legal age and legal competence (b). if Customer is not a natural person, (i) Customer is duly organized and validly existing under the applicable laws of the jurisdiction of its organization; (ii) execution and delivery of this Agreement and all Contracts and other transactions contemplated hereunder and performance of all obligations contemplated under this Agreement and all other transactions contemplated hereunder have been duly authorized by Customer; and (iii) each person executing and delivering this Agreement and all other transactions contemplated hereunder on behalf of the Customer performing the obligations contemplated under this Agreement and all other transactions contemplated hereunder on behalf of Customer, has been duly authorized by Customer to do so. (c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX (other than the security interest granted to GFX hereunder) to any person without GFX’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX hereunder) without GFX’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX FUNDA MARKETS LIMITED (other than the security interest granted to GFX FUNDA MARKETS LIMITED hereunder) to any person without GFXFUNDA MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX FUNDA MARKETS LIMITED hereunder) without GFXFUNDA MARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX AXECAP GLOBAL LIMITED (other than the security interest granted to GFX AXECAP GLOBAL LIMITED hereunder) to any person without GFXAXECAP GLOBAL LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX AXECAP GLOBAL LIMITED hereunder) without GFXAXECAP GLOBAL LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX EQUINOX MARKETS LIMITED (UK) (other than the security interest granted to GFX EQUINOX MARKETS LIMITED (UK) hereunder) to any person without GFXEQUINOX MARKETS LIMITED (UK)’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX EQUINOX MARKETS LIMITED (UK) hereunder) without GFXEQUINOX MARKETS LIMITED (UK)’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX (other Xxxxx Markets(other than the security interest granted to GFX Xxxxx Markets hereunder) to any person without GFX’s Xxxxx Markets’ prior written consent. Customer The customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX Xxxxx Markets hereunder) without GFX’s Xxxxx Markets’ prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX CRONOSCAP MARKETS LIMITED (other than the security interest granted to GFX CRONOSCAP MARKETS LIMITED hereunder) to any person without GFXCRONOSCAP MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX CRONOSCAP MARKETS LIMITED hereunder) without GFXCRONOSCAP MARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,, CUSTOMER AGREEMENT 12

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX RUBY MARKETS LIMITED (other than CUSTOMER AGREEMENT 10 the security interest granted to GFX RUBY MARKETS LIMITED hereunder) to any person without GFXRUBY MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX RUBY MARKETS LIMITED hereunder) without GFXRUBMARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX BLUE OCEAN FINANCIALS LIMITED (other than the security interest granted to GFX BLUE OCEAN FINANCIALS LIMITED hereunder) to any person without GFXBLUE OCEAN FINANCIALS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX BLUE OCEAN FINANCIALS LIMITED hereunder) without GFXBLUE OCEAN FINANCIALS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,, CUSTOMER AGREEMENT 12

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX CORSA GROUP INTERVEST LIMITED (other than the security interest granted to GFX CORSA GROUP INTERVEST LIMITED hereunder) to any person without GFXCORSA GROUP INTERVEST LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX CORSA GROUP INTERVEST LIMITED hereunder) without GFXCORSA GROUP INTERVEST LIMITED’s prior written consent; and, and (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX 360TRADEHUB LIMITED (other than the security interest granted to GFX 360TRADEHUB LIMITED hereunder) to any person without GFX360TRADEHUB LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX 360TRADEHUB LIMITED hereunder) without GFX360TRADEHUB LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX HILLTOP BOLSA INTERNATIONAL LIMITED (other than the security interest granted to GFX HILLTOP BOLSA INTERNATIONAL LIMITED hereunder) to any person without GFXHILLTOP BOLSA INTERNATIONAL LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX HILLTOP BOLSA INTERNATIONAL LIMITED hereunder) without GFXHILLTOP BOLSA INTERNATIONAL LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX BLUE OCEAN FINANCIALS LIMITED (other than the security interest granted to GFX BLUE OCEAN FINANCIALS LIMITED hereunder) to any person without GFXBLUE OCEAN FINANCIALS LIMITED’s CUSTOMER AGREEMENT 11 prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX BLUE OCEAN FINANCIALS LIMITED hereunder) without GFXBLUE OCEAN FINANCIALS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX (other FXPRIMUS(other than the security interest granted to GFX FXPRIMUS hereunder) to any person without GFXFXPRIMUS’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX FXPRIMUS hereunder) without GFXFXPRIMUS’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX HIBI MARKETS LIMITED (other than the security interest granted to GFX HIBI MARKETS LIMITED hereunder) to any person without GFXHIBI MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX HIBI MARKETS LIMITED hereunder) without GFXHIBI MARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

CUSTOMER AGREEMENT 11 Customer represents and warrants that: (a). if Customer is a natural person, Customer is of sound mind, legal age and legal competence (b). if Customer is not a natural person, (i) Customer is duly organized and validly existing under the applicable laws of the jurisdiction of its organization; (ii) execution and delivery of this Agreement and all Contracts and other transactions contemplated hereunder and performance of all obligations contemplated under this Agreement and all other transactions contemplated hereunder have been duly authorized by Customer; and (iii) each person executing and delivering this Agreement and all other transactions contemplated hereunder on behalf of the Customer performing the obligations contemplated under this Agreement and all other transactions contemplated hereunder on behalf of Customer, has been duly authorized by Customer to do so. (c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX AMG MARKETS LIMITED (other than the security interest granted to GFX AMG MARKETS LIMITED hereunder) to any person without GFXAMG MARKETS LIMITED ’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX AMG MARKETS LIMITED hereunder) without GFXAMG MARKETS LIMITED ’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX (other Meydan Ltd.(other than the security interest granted to GFX Meydan Ltd. hereunder) to any person without GFX’s Meydan Ltd.’ prior written consent. Customer The customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX Meydan Ltd. hereunder) without GFX’s Meydan Ltd.’ prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

Customer represents and warrants that: (a). if Customer is a natural person, Customer is of sound mind, legal age and legal competence (b). if Customer is not a natural person, (i) Customer is duly organized and validly existing under the applicable laws of the jurisdiction of its organization; (ii) execution and delivery of this Agreement and all Contracts and other transactions contemplated hereunder and performance of all obligations contemplated CUSTOMER AGREEMENT 11 under this Agreement and all other transactions contemplated hereunder have been duly authorized by CustomerXxxxxxxx; and (iii) each person executing and delivering this Agreement and all other transactions contemplated hereunder on behalf of the Customer performing the obligations contemplated under this Agreement and all other transactions contemplated hereunder on behalf of Customer, has been duly authorized by Customer to do so. (c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX BLUE OCEAN FINANCIALS LIMITED (other than the security interest granted to GFX BLUE OCEAN FINANCIALS LIMITED hereunder) to any person without GFXBLUE OCEAN FINANCIALS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX BLUE OCEAN FINANCIALS LIMITED hereunder) without GFXBLUE OCEAN FINANCIALS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX FUNDA MARKETS LIMITED (other than the security interest granted to GFX FUNDA MARKETS LIMITED hereunder) to any person without GFXFUNDA MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX FUNDA MARKETS LIMITED hereunder) without GFXFUNDA MARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,, CUSTOMER AGREEMENT 11

Customer Representations and Warranties. Customer represents and warrants that: (a). if Customer is a natural person, Customer is of sound mind, legal age and legal competence (b). if Customer is not a natural person, (i) Customer is duly organized and validly existing under the applicable laws of the jurisdiction of its organization; (ii) execution and delivery of this Agreement and all Contracts and other transactions contemplated hereunder and performance of all obligations contemplated under this Agreement and all other transactions contemplated hereunder have been duly authorized by Customer; and (iii) each person executing and delivering this Agreement and all other transactions contemplated hereunder on behalf of the Customer performing the obligations contemplated under this Agreement and all other transactions contemplated hereunder on behalf of Customer, has been duly authorized by Customer to do so. (c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX QUANTIC VENTURE LIMITED (other than the security interest granted to GFX QUANTIC VENTURE LIMITED hereunder) to any person without GFXQUANTIC VENTURE LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX QUANTIC VENTURE LIMITED hereunder) without GFXQUANTIC VENTURE LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX IMGFX LTD (other than the security interest granted to GFX IMGFX LTD hereunder) to any person without GFXIMGFX LTD’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX IMGFX LTD hereunder) without GFXIMGFX LTD’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX XXXXXXX.XXX hereunder) without GFXXXXXXXX.XXX’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX SIRIUS MARKETS LIMITED (other than the security interest granted to GFX SIRIUS MARKETS LIMITED hereunder) to any person without GFXSIRIUS MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX SIRIUS MARKETS LIMITED hereunder) without GFXSIRIUS MARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

(c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX RUBY MARKETS LIMITED (other than the security interest granted to GFX RUBY MARKETS LIMITED hereunder) to any person without GFXRUBY MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX RUBY MARKETS LIMITED hereunder) without GFXRUBY MARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,

Customer represents and warrants that: (a). if Customer is a natural person, Customer is of sound mind, legal age and legal competence (b). if Customer is not a natural person, (i) CUSTOMER AGREEMENT 13 Customer is duly organized and validly existing under the applicable laws of the jurisdiction of its organization; (ii) execution and delivery of this Agreement and all Contracts and other transactions contemplated hereunder and performance of all obligations contemplated under this Agreement and all other transactions contemplated hereunder have been duly authorized by Customer; and (iii) each person executing and delivering this Agreement and all other transactions contemplated hereunder on behalf of the Customer performing the obligations contemplated under this Agreement and all other transactions contemplated hereunder on behalf of CustomerXxxxxxxx, has been duly authorized by Customer to do so. (c) No person other than Customer has or will have an interest in Customer’s account(s) and Customer has not granted and will not grant a security interest in Customer’s account with GFX CRONOSCAP MARKETS LIMITED (other than the security interest granted to GFX CRONOSCAP MARKETS LIMITED hereunder) to any person without GFXCRONOSCAP MARKETS LIMITED’s prior written consent. Customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to GFX CRONOSCAP MARKETS LIMITED hereunder) without GFXCRONOSCAP MARKETS LIMITED’s prior written consent; and, (d) Customer hereby warrants that regardless of any subsequent determination to the contrary, Customers suitable to trade FOREX and is a sophisticated institution and/or institutional participant; and,
