Customer to Indemnify. The Customer indemnifies the Scheme Owner against each claim, action, proceeding, judgment, damage, loss, expense or liability incurred or suffered by or brought or made or recovered against the Scheme Owner:

Customer to Indemnify. (a) The Customer indemnifies Sunwater and its agents, officers, employees, managers and contractors against all loss, costs and expenses suffered or incurred by Sunwater and its agents, officers, employees, managers and contractors arising out of, in relation to or in connection with the Customer's breach of this Agreement, negligence or other wrongful or unlawful conduct, save to the extent the loss is caused or contributed by any negligent, wilful or wrongful act or omission of Sunwater.
