Common use of Customer Warranties Clause in Contracts

Customer Warranties. Customer represents and warrants that (a) it has the full power and authority to enter into this Agreement and to carry out its obligations under this Agreement; (b) this Agreement shall be the legal, valid, and binding obligation of Customer, enforceable against it in accordance with the terms hereof; (c) the execution and performance of this Agreement will not violate any federal, state, or local statute, rule, or regulation or any other contractual obligation of Customer, and (d) the person signing this Agreement on behalf of Customer is authorized to bind Customer to this Agreement.

Customer Warranties. Customer represents and warrants that that: (ai) it has the full power and authority to enter into this Agreement and to carry out its obligations under this Agreement; (bii) all obligations owed to third parties with respect to the activities contemplated to be undertaken by Customer pursuant to this Agreement shall are or will be the legal, valid, and binding obligation of fully satisfied by Customer, enforceable against it in accordance with the terms hereof; (c) the execution and performance of this Agreement so that Developer will not violate have any federal, state, or local statute, rule, or regulation or any other contractual obligation of Customer, obligations with respect thereto; and (diii) Customer has provided Content for the person signing this Agreement on behalf Customer Site that does not infringe or violate copyright, patent, trademark, trade secret or other proprietary rights of Customer is authorized to bind Customer to this Agreementany third party.

Customer Warranties. Customer represents and warrants that (a) it has the full power and authority to enter validly entered into this Agreement and has the legal power to carry out do so. Customer further represents and warrants that it is responsible for the conduct of its obligations under this Agreement; (b) this Agreement shall be the legal, valid, Authorized Users and binding obligation of Customer, enforceable against it in accordance their compliance with the terms hereof; (c) the execution and performance of this Agreement will not violate any federalAgreement, state, or local statute, rule, or regulation or any other contractual obligation of Customerthe Acceptable User Policy, and (d) the person signing this Agreement on behalf of Customer is authorized to bind Customer to this AgreementUser Terms.

Customer Warranties. In addition to and without limiting any Customer warranty under this Agreement, the Customer undertakes and represents and warrants that (a) that: it has the full all requisite power and authority to enter into execute and deliver this Agreement and to carry out perform its obligations under this Agreementhereunder; (b) this Agreement shall be the legal, valid, and binding obligation of Customer, enforceable against it in accordance with the terms hereof; (c) the execution and performance delivery of this Agreement and the consummation of the transactions contemplated hereby will not violate any federal, stateconfict with, or local statuteresult in any violation or breach of, rule, or regulation or any other contractual obligation of Customer, and (d) the person signing this Agreement on behalf of contract to which Customer is authorized to bind Customer to this Agreementa party.

Customer Warranties. Customer represents and warrants that (a) the Services will not be accessed or used in any manner not permitted by this Agreement, (b) Customer will perform its obligations and exercise its rights under this Agreement in compliance with all applicable laws and regulations (including any applicable export or import laws or regulations), (c) Customer has the full ability and legal right to provide Customer Data, including any Personal Information, and Feedback to Redely as contemplated by this Agreement, and (d) it has the full power and authority to enter into this Agreement and perform its obligations under this Agreement and that no contractual obligation will interfere with its ability to carry out satisfy its obligations under this Agreement; (b) this Agreement shall be the legal, valid, and binding obligation of Customer, enforceable against it in accordance with the terms hereof; (c) the execution and performance of this Agreement will not violate any federal, state, or local statute, rule, or regulation or any other contractual obligation of Customer, and (d) the person signing this Agreement on behalf of Customer is authorized to bind Customer to this Agreement.

Customer Warranties. Customer represents represents, warrants, and warrants covenants that (a) it has and will maintain during the full power term of the Agreement all necessary right, title, interest, authorizations, and authority permissions to: (i) grant the license to enter into this Agreement and SafetyKit to carry out its obligations under the Customer Content set forth in this Agreement; (b) this Agreement shall be the legal, validincluding, for clarity, all rights, authorization, and binding obligation permissions as may be required for SafetyKit to pull copies of Customer, enforceable against it in accordance with the terms hereof; (c) the execution Customer Content as directed by Xxxxxxxx and performance of this Agreement will not violate any federal, state, or local statute, rule, or regulation or any other contractual obligation of Customerits Authorized Users, and (dii) the person signing this Agreement permit SafetyKit to access on behalf of Customer’s behalf, any Customer is authorized to bind Customer to this AgreementContent or Confidential Information, as applicable.

Customer Warranties. In addition to and without limiting any Customer warranty under this Agreement, the Customer undertakes and represents and warrants that (a) that: it has the full all requisite power and authority to enter into execute and deliver this Agreement and to carry out perform its obligations under this Agreementhereunder; (b) this Agreement shall be the legal, valid, and binding obligation of Customer, enforceable against it in accordance with the terms hereof; (c) the execution and performance delivery of this Agreement and the consummation of the transactions contemplated hereby will not violate any federal, stateconflict with, or local statuteresult in any violation or breach of, rule, or regulation or any other contractual obligation of Customer, and (d) the person signing this Agreement on behalf of contract to which Customer is authorized to bind Customer to this Agreementa party.
