Common use of DAC Decision-Making Clause in Contracts

DAC Decision-Making. The representatives of each Party on the DAC shall have collectively one vote on behalf of such Party. For each meeting of a DAC, the attendance of at least two (2) representatives of each Party shall constitute a quorum. Action on any matter may be taken at a meeting, by teleconference, videoconference or by written agreement. The DAC shall attempt to resolve any and all disputes before it for decision by consensus. If the DAC is unable to reach a consensus with respect to any dispute for a period in excess of [***] (or such other period as the Parties may agree), then the dispute shall be submitted to the AJSC at a meeting or meetings (whether in-person or by teleconference or videoconference) for resolution pursuant to Section 9.1.6 (Decision Making). During such meeting(s), each Party shall provide analysis to support its position with respect to such dispute. The phrases “approval by the DAC” and “election by the DAC” and similar phrases used in this Agreement shall mean approval in accordance with this Section 9.2.4 or Section 9.1.6 (Decision Making), including the escalation and tie-breaking provisions provided therein, except as otherwise expressly set forth in this Agreement.
