Data and Records. 11.2.1 The Seller shall maintain complete and accurate data and records required to facilitate the proper administration of this Agreement and the Facility Unit. Such data and records ("Facility Unit Data") shall include an accurate and up-to-date log of Operations, updated daily, in a format reasonably acceptable to the Buyer. The Facility Unit Data should include, but not be limited to, the following information, with records of:
11.2.1.1 for each ten (10) minute period in each day, the Energy Output and the Reactive Energy Output;
11.2.1.2 changes in Operating status during the day;
11.2.1.3 the number of Outages in the day, the duration of each Outage and the reason for each Outage;
11.2.1.4 all estimates and other data required in terms of clause 7 read with Schedule 4 (Forecasting Information);
11.2.1.5 all data required in terms of Schedule 5 (Deemed Energy Payment);
11.2.1.6 any information required to be recorded and/or reported in terms of the Consents; and
11.2.1.7 any unusual conditions found during Maintenance inspections.
Data and Records. All operating data and records of Seller, including customer lists and records, supplier agreements, rebate details, general commercial information, referral sources, research and development reports and records, production reports and records, equipment logs, operating guides and manuals, copies of financial, accounting and personnel records, correspondence and other similar documents and records ("Data and Records").
Data and Records. Acknowledging the confidentiality of Client data, ASF hereby agrees to the terms of the AMEX Data Access Document attached hereto as Exhibit E, the Confidentiality/Data Security schedule attached hereto as Exhibit F and the Customer Data and Data-Related Rights schedule attached hereto as Exhibit G the terms of which are hereby incorporated herein and made a part hereof. ASF will limit the information it obtains from Clients to information required by ASF to fulfill the Services, and in any event only such information as approved by AMEX. In addition, ASF will comply with the exhibits entitled Security attached hereto as Exhibit H and AMEX Audit Rights attached hereto as Exhibit D, the terms of both are incorporated herein by reference and made a part hereof. In the event ASF uses the services of third party vendors, representatives or subcontractors, ASF shall be responsible for ensuring their compliance with the terms of this Agreement, and shall ensure that all such vendors, representatives or subcontractors execute the Confidentiality Agreement attached hereto as Exhibit I. ASF's employees and agents shall execute the Non-Disclosure Agreement attached hereto as Exhibit J, prior to gaining access to AMEX data.
Data and Records. IA AMERICAN is and shall remain the owner of items, the Books and Records and data furnished to GOLDEN STATE under this Agreement, including all information relating to IA AMERICAN, the Policies and Contracts contained in master and/or transactional data files created and/or maintained by GOLDEN STATE during the term of the Agreement and in existence upon termination hereof. It is understood and agreed that the Books and Records shall at all times remain under IA AMERICAN's direct supervision, management and control.
Data and Records. For the purposes of this Section 4.20, “Data Protection Legislation” means the Laws concerning the protection and/or processing of Personal Information, and “Personal Information” means information about an individual who can be identified by the Person who holds that information.
Data and Records. (i) For the purposes of this paragraph, "Data Protection Legislation" means all statutes, enacting instruments, common law, regulations, directives, codes of practice, guidance notes, decisions, recommendations and the like (whether in the United Kingdom, the European Union or elsewhere) concerning the protection and/or processing of personal data;
a. the data protection principles established in that legislation;
b. requests from data subjects for access to data held by it; and
c. the requirements relating to the notification by data controllers to the relevant data protection regulator of their processing of personal data.
Data and Records. 12.1 All information provided to the Client by the Company will be treated as conclusive evidence of the correctness of the details set out in that information unless:
(a) the Client notifies the Company in writing, setting out the detailed reasons, within 14 days of receipt of that information that there exists a bona fide dispute concerning the correctness of that information; or
(b) it is demonstrated at any time that there is a clear and manifest error in that information.
12.2 The Company may provide access to the Client and its Authorised Parties information on transactions related to this agreement through websites or Portals provided by the Company. The Client agrees to accept the Conditions of Use of Emerald Customer Websites, which are available from the Emerald public website.

Data and Records. Owner agrees to make available all data, records and documents pertaining to the property which the Manager may require to properly exercise Manager's duties hereunder.
