Data Processing Details. This Annex I forms part of the DPA and describes the processing that Supplier will perform on behalf of Customer.
Data Processing Details. 1. Subject-matter of processing:
Data Processing Details. Company instructs Plannuh and its sub-processors to Process the Personal Data, including the transfer by Plannuh of Company Personal Data to any country or territory, only under the documented instructions of Company, as represented by the Main Agreement, this DPA, any other instructions of Company agreed in writing by Company and Plannuh and in compliance with Data Protection Laws, and except as required to comply with a legal obligation to which Plannuh is subject. Any oral instructions shall be confirmed in writing and agreed by both Parties. If applicable law requires Plannuh to Process Personal Data otherwise than in accordance with such instructions, it will give Company prior notice of that legal requirement before Processing, unless that law prohibits such notice. To fully optimize the prediction and other machine- learned abilities of the Services, Company instructs Plannuh and its sub-processors to use, compile (including creating statistical and other models), annotate and otherwise analyze the Personal Data to operate, maintain, tune, enhance, improve and provide technical support services for the metric prediction, benchmarking and other Plannuh software and technologies that are embodied in the Services. Personal Data Processing instructions can be modified, amended or replaced through an amendment to this DPA through the established change control process. Instructions not foreseen in or covered by the Main Agreement or this DPA shall be treated as requests for amendments to this DPA. Plannuh shall, immediately upon becoming aware, inform Company if, in Plannuh’s opinion, an instruction infringes Data Protection Laws. The type of Personal Data Processed pursuant to this DPA as well as the subject matter, nature and purpose of the Processing, the Data Subjects involved, and the location(s) and duration of the Processing (details required by Article 28(3) GDPR) are as described in the Data Processing Details.

If not otherwise specified in the Agreement, upon the request of Qualcomm, the following information will be added as an addendum to the Agreement (collectively, the “Data Processing Details”): C. Additional Information Specific for Cross-Border Data Transfer of EEA, Switzerland and the United Kingdom Supplier shall provide the following information as required by the Model Clauses (defined in Section IV/E hereunder) legitimizing the cross-border transfer of Personal Information of residents of EEA, Switzerland and the United Kingdom. - For the ANNEX I/A of the APPENDIX of the Model Clauses: if and to the extent applicable, the Data Protection Officer of Supplier: [name, position and contact details]. - For the ANNEX I/B of the APPENDIX of the Model Clauses: the aforementioned information set forth under the Section III/C/1 of the DP Terms, plus the following information:
(i) if sensitive personal data is transferred, (a) the categories of sensitive personal data, (b) any additional restrictions, security measures or safeguards to protect it, and (c) restrictions for onward transfers;
(ii) the frequency of the transfer (e.g. whether the data is transferred on a one-off or continuous basis);
(iii) purpose(s) of the data transfer and further processing.
(iv) the period for which the personal data will be retained, or, if that is not possible, the criteria used to determine that period. - For the ANNEX III of the APPENDIX of the Model Clauses: where applicable, for sub-processors listed in Section III/C (Data Processing Details), below lists their address, contact person’s name/position/contact details, and the description of processing (including a clear delimitation of responsibilities in case several sub-processors are authorized).
