Date of Effectiveness; Limited Effect. The This Amendment shall continue in full force and effect from the date upon which satisfaction of the following conditions precedent occurs: (1) Customer shall have closed the ML&P Acquisition and (2) the Parties acknowledge and agree that shall have received all necessary regulatory approvals (the "Effective Date"). Billing under this Amendment is effective as shall begin on the first day of the Amendment Effective Datemonth following satisfaction of the conditions precedent. Except as expressly provided in this Amendment, all of the terms and provisions of the Existing Agreement are and will remain in full force and effect and are hereby ratified and confirmed by the Parties. On and after the Amendment Third Effective Date, each reference in the Existing Agreement to “this Agreement,” “the Agreement,” “hereunder,” “hereof,” “herein,” or words of like import import, and each reference to the Agreement in any other agreements, documents, or instruments executed and delivered pursuant to, or in connection with, the Agreement, will mean and be a reference to the Existing Agreement as amended by this Third Amendment. Notwithstanding any provision contained in this Third Amendment, in the event of any conflict between the provisions of this Third Amendment and the provisions of the Agreement, the provisions of this Third Amendment shall control.

On and after the Amendment Fourth Effective Date, each reference in the Existing Agreement to “this Agreement,” “the Agreement,” “hereunder,” “hereof,” “herein,” or words of like import import, and each reference to the Agreement in any other agreements, documents, or instruments executed and delivered pursuant to, or in connection with, the Agreement, will mean and be a reference to the Existing Agreement as amended by this Fourth Amendment. Notwithstanding any provision contained in this Fourth Amendment, in the event of any conflict between the provisions of this Fourth Amendment and the provisions of the Agreement, the provisions of this Fourth Amendment shall control.
