Deal Fee. On the date hereof, the Company shall pay or cause to be paid to the Board Member, in consideration of services rendered in connection with the acquisition by the Company and its subsidiaries of IDQ Acquisition Corp., a cash fee of $250,000, payable by check or wire transfer of immediately available funds.
