Board Fees Sample Clauses
Board Fees. The Executive shall promptly remit to the Company any compensation received by the Executive (including, without limitation, any fees, equity securities or retirement benefits) for service on the board of directors or similar governing body of any entity in which the Company owns at least five percent of the voting equity securities, unless the Board authorizes the Executive to retain some or all of any such compensation. Notwithstanding the foregoing, the Executive shall be entitled to retain any reimbursements paid to him by any such entity of the actual out-of-pocket expenses incurred by the Executive in attending any meeting of any such board or other governing body. Nothing in this Section 4(h) shall be deemed to authorize the Executive to serve on the board of directors or similar governing body of any other entity if doing so would cause the Executive to be in breach of his obligations under any other provision of this Agreement.
Board Fees. The Executive will not be entitled to any cash fees or other payments or equity grants for service as a director.
Board Fees. The Executive shall not be eligible to receive fees for board service consistent with that paid to outside board members, unless agreed upon in writing by the Parties or unless board fees are paid to other “inside directors”.
Board Fees. Executive shall be entitled to receive fees for serving as a director of the Holding Company and/or the Institution or as a member of any committee of either board in amounts equal to the other members of the boards of the Holding Company and/or the Institution. Board fees paid to Executive shall be in addition to and not in lieu of any other remuneration provided under this Agreement.
Board Fees. During the period that you serve as a member of the WSFS Boards, WSFS shall pay to you such fees as are generally paid to other members of the WSFS Boards.

Any officers or employees of Wexford who serve as members of the Board shall be entitled to receive whatever fees, stock options, reimbursements or other compensation or benefits are paid to other members of the Board. At the request of Wexford, such amounts may be paid to Wexford instead of to such officers or employees of Wexford.

Executive shall be entitled to receive a retainer and fees for serving as a director of the Board of Directors of the Company in amounts equal to the other members of the Board of the Directors of the Company. Board remuneration paid to Executive shall be in addition to and not in lieu of any other remuneration provided under this Agreement. 2
Board Fees. In consideration for Executive’s services to the Company as a Trustee, the Company shall pay to Executive such annual fees and meeting attendance fees as the Company pays to the other Co-Chairman of the Board.
Board Fees. The Parent will not, nor will it permit any Subsidiary to, pay fees to members of the Board (or similar governing body), except that an outside independent director may receive fees in an aggregate amount not to exceed Twenty-Five Thousand Dollars ($25,000.00) during any Fiscal Year so long as the aggregate amount of fees paid to all outside independent directors does not exceed Seventy-Five Thousand Dollars ($75,000.00) during any Fiscal year; provided that (i) none of the members on the Board as of the Closing Date shall be considered outside independent directors for purposes of this Section 7.7 and (ii) none of the fees otherwise due and payable by the Parent to outside independent directors shall be paid while there is an Event of Default under Section 8.1(a)(i) (but such fees, together with past due fees, may be paid if and when such Event of Default has been cured).
Board Fees. In addition to other compensation to be paid under this SECTION 4, Company shall pay to Employee fees for services provided as a member of the Board at the same level as outside board members.
