Other than as contemplated by this Agreement or set forth in EXHIBIT 4.02(h), and other than arms-length transactions in the ordinary course of business involving less than $5,000, enter into any transaction, including, without limitation, any loans or extensions of credit or royalty agreements, with any officer or director of the Company or any Subsidiary or holder of any class of capital shares of the Company, or any member of their respective immediate families or any corporation or other entity directly or indirectly affiliated with one or more of such officers, directors or stockholders or members of their immediate families unless such transaction is approved in advance by a majority of the members of the Board of Directors who have no interest in such transaction, or absent such Board of Directors approval, by all of the Purchasers.
