Debt Adjustments. In the event INT'X.xxx or its Subsidiaries shall breach the covenants in Section 5.6 hereof, the aggregate amount of all breaches of such Section 5.6 shall be deemed to be the "Debt Adjustment Amount" for purposes of this Agreement. "Debt Payment Shares" shall mean a number of shares of Parent Common Stock determined by dividing the Debt Adjustment Amount plus any accrued interest on such amount as of the Closing by the Parent Average Closing Price.
