Common use of Deconversion Costs and Post-Deconversion Support Fees Clause in Contracts

Deconversion Costs and Post-Deconversion Support Fees. In the event of termination or non-renewal of this Agreement by the Trust or XXXX, the Trust and XXXX shall pay the Transfer Agent for the Deconversion costs as noted in Section 12.2 and all reasonable fees and expenses for providing any support services that the Fund or XXXX requests the Transfer Agent to provide post Deconversion, including but not limited to tax reporting and open issue resolution.
