Dedicated Resources. Except as otherwise set forth in this Agreement, or as consented to in writing by Client, the Client Software, Machines and any other assets provided by Client in connection with the providing or receiving of the Services, shall be accessed and used by Contractor exclusively for the provision of Services to Client (until the same have been refreshed, replaced, or are no longer needed to provide the Services) and not for Contractor's internal use or use for the benefit of other customers.
Dedicated Resources. Except as otherwise agreed by the Parties and documented in Attachment J (Shared Resources), all Machines, Software and any Assets used in Vendor’s (or its Subcontractor’s) performance pursuant to this Agreement, all County Software, and all Locations, shall be dedicated resources and shall be accessed and used by Vendor and its employees, agents, and Subcontractors, only and exclusively for the provision of Services to the County and not for Vendor’s (or its Subcontractors’) internal use or use for the benefit of third parties. If the Parties mutually agree to utilize shared resources or migrate any portion of the Services to a shared resource environment, such use of shared resources shall be subject to all appropriate confidentiality and security-related provisions, which shall ensure that none of the County Confidential Information is shared with any third party, except as permitted hereunder. Prior to making any change to the resource environment, Vendor shall provide to the CIO, for the CIO’s approval, a proposal for the use of such shared resources, including benefits, savings, or risks to the County during the Term and upon the expiration or termination of this Agreement.
Dedicated Resources. To assure that APAC has sufficient dedicated resources available during the seasonal peaks of FTD business, APAC agrees that: . APAC will not utilize the same call center facility(s) for accounts competing with FTD; . APAC will not utilize the same account management team for accounts competing with FTD; and . APAC will not utilize technology considered to be proprietary to the FTD account for accounts competing with FTD.
Dedicated Resources. It is at the discretion of the Contractor to select how much resources are dedicated to this work. However, unless discussed with the Client in advance, any use of resources, either staffing, software or similar, will be at no additional cost to the Client. Changes to the specifics of the above, including: quantity of work to be completed, speed of delivery and dedicated resources available are discussed and specified in communication between the Client and Contractor and may change over time.
Dedicated Resources. FairMarket's support of Microsoft shall include a minimum assignment of four full-time FairMarket personnel to work solely on the design, development, integration and support of Auction Services into Microsoft Sites. FairMarket will designate one or more dedicated project manager(s), account manager(s), engineer(s), as well as identify specific operations and customer personnel to support Microsoft.

o 1 pick-up truck is dedicated to the transport of personnel and equipment related to the janitorial services for lodging facilities on CT and CP. • Utilities: o The following utility services required for the lodging service are provided and maintained by the Service Provider. ▪ Electricity ▪ Telephone service ▪ Potable Water ▪ LP Gas ▪ Wastewater treatment o Consumption of these utilities is metered or otherwise recorded and charged to the accounts of the dormitory facility where they are used.
Dedicated Resources. The Company commits to utilize the resources necessary to adequately fulfill customer orders and deliveries and to otherwise perform the Support Services, the Transportation Services and the Mixer Services (the “Services”). These resources will remain in place and dedicated to the Distributor’s efforts to Commercialize Concentrate Products unless (i) significant changes occur around sales activity justifying a change, either increase or decrease, over the duration of the Services period and (ii) Distributor consents to such changes. Such changes will be communicated to the Distributor for approval no less than 10 days prior to taking effect.
Dedicated Resources. SB shall apply the necessary resources to facilitate and perform its duties and obligations under this Agreement. Such resources shall be available for Severity 1 and Severity 2 Problems, as defined in Exhibit C, on a 24 hours per day, 7 days per week basis via pager or other comparable means. Without limiting the generality of the foregoing, during the License Period, (i) SB shall provide to AOL a full-time-equivalent engineer ("FTE"), who shall be available to AOL on a full-time basis (i.e., for at least [**] hours per Year) (the "FTE Hours Commitment"). Such FTE shall be located, at AOL's option, either at (a) the AOL facility where other AOL employees responsible for the implementation of this Agreement are located, or (b) at SB's facilities, to assist AOL in connection with the integration of the DLA Platform and the YP Databases into the YP Product, technical assistance and the development and/or customization of APIs, the AOLYP User Interface, the YP Databases, the DLA Platform, etc. All work performed by such FTE shall be considered Engineering Hours for purposes of this Agreement.
