Common use of Defeasance Costs and Expenses Clause in Contracts

Defeasance Costs and Expenses. Borrower shall pay all reasonable costs and expenses incurred by Lender in connection with Defeasance, which payment is required prior to Lender’s issuance of the Release and whether or not Defeasance is completed. Such expenses include, without limitation, the cost incurred by Lender to obtain Rating Confirmation contemplated by Section 2.05(b)(ii)(D)(8), the reasonable fees and disbursements of Lender’s legal counsel and a processing fee to cover Lender’s administrative costs to process Borrower’s Defeasance request. Lender reserves the right to require that Borrower post a deposit to cover costs which Lender reasonably anticipates will be incurred.
