Common use of Deferred Prosecution Clause in Contracts

Deferred Prosecution. 24. In consideration of the undertakings agreed to by the Company herein, the Fraud Section agrees that any prosecution of the Company for the conduct set forth in the attached Statement of Facts or Information will be and hereby is deferred for the Term. To the extent there is conduct disclosed by the Company that is not set forth in the attached Statement of Facts or Information, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

Deferred Prosecution. 2412. In consideration of the undertakings agreed to by the Company hereinand Xxxxx X.X. xxxxxx, the Fraud Section agrees and the Office agree that any prosecution of the Company for the conduct set forth in the attached Statement of Facts or Information will be and hereby is deferred for the Term. To the extent there is conduct disclosed by the Company or Vitol S.A. that is not set forth in the attached Statement of Facts or InformationFacts, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

In consideration of the undertakings agreed to by the Company and the Related Entities herein, the Fraud Section agrees and the Office agree that any prosecution of the Company for the conduct set forth in the attached Statement of Facts or Information will be and hereby is deferred for the Term. To the extent there is conduct disclosed by the Company or the Related Entities that is not set forth in the attached Statement of Facts or InformationFacts, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

In consideration of the undertakings agreed to by the Company and Alcon Inc. herein, the Fraud Section agrees and the Office agree that any prosecution of the Company for the conduct set forth in the attached Statement of Facts or Information will be and hereby is deferred for the Term. To the extent that there is conduct disclosed by the Company or Alcon Inc. that is not set forth in the attached Statement of Facts or InformationFacts, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

In consideration of the undertakings agreed to by the Company herein, the Fraud Section agrees and the Office agree that any prosecution of the Company for the conduct set forth in the attached Statement of Facts or Information will be and hereby is deferred for the Term. To the extent there is conduct disclosed by the Company that is not set forth in the attached Statement of Facts or InformationFacts, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

In consideration of the undertakings agreed to by the Company herein, the Fraud Section agrees that any prosecution of the Company and its subsidiaries and majority-owned and controlled affiliates for the conduct set forth in the attached Statement of Facts or Information will be and hereby is deferred for the Term. To the extent there is conduct disclosed by the Company that is not set forth in the attached Statement of Facts or Information, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

In consideration of the undertakings agreed to by the Company and Honeywell herein, the Fraud Section agrees and the Office agree that any prosecution of the Company for the conduct set forth in the attached Statement of Facts or Information will be and hereby is deferred for the Term. To the extent there is conduct disclosed by the Company or Honeywell that is not set forth in the attached Statement of Facts or InformationFacts, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.
