Defined Terms and Interpretations. As used in the Securities Purchase Agreement (including the attached Exhibits) and in respect of the certificates for and terms and conditions of the Notes, the following terms shall have the specified meanings (unless otherwise defined therein):

Centres are typically educational institutions, training providers, or employers. Centre also includes any delivery and satellite sites used by the Centre to deliver, assess and quality assure NOCN regulated qualifications and non-regulated provision.
