Defined Terms; Conflicts. Capitalized terms used herein (including in the recitals hereto) and not otherwise defined shall have the meanings given such terms in the Credit Agreement and such definitions are hereby specifically incorporated by reference herein and made a part hereof. Unless otherwise prohibited by law, this Assignment shall be read together with the Credit Agreement and, in case of any conflict between the two, the provisions of the Credit Agreement shall prevail.

Defined Terms; Conflicts. Capitalized terms used and not otherwise defined in this Escrow Agreement shall have the meanings assigned to them in the Merger Agreement. In the event of a conflict between the provisions of this Escrow Agreement and the Merger Agreement, the provisions of the Merger Agreement shall control.

Defined Terms; Conflicts. To the extent not otherwise defined or modified herein, all capitalized terms and capitalized phrases used in this Amendment shall have the respective meanings ascribed to them in the Lease. To the extent the terms and provisions of this Amendment conflict with the terms and provisions of the Lease and/or previous Amendments thereto, the terms and provisions of this Amendment shall control.

Defined Terms; Conflicts. All terms contained in this Agreement with an initial capitalized letter which are not defined herein shall have the meaning ascribed to them in the Plan. In the event of any inconsistency or discrepancy between the provisions of this Agreement and the terms and conditions of the Plan, the provisions of the Plan shall govern and prevail.

Defined Terms; Conflicts. Capitalized terms used and not otherwise defined in this Escrow Agreement shall have the meanings assigned to them in the Stock Purchase Agreement. In the event of a conflict between the provisions of this Escrow Agreement and the Stock Purchase Agreement, the provisions of the Stock Purchase Agreement shall control.
