Common use of Definition of Improvements Clause in Contracts

Definition of Improvements. For purposes of the Agreement the term "Improvements" shall mean all modifications, revisions, upgrades, new technology, new models, or other improvements to the Product, know-how or technology which are incorporated into or relate to the Product or any part thereof, or the commercial applications presently utilizing the Product, as well as all processes, machines, manufactures or composition of matter which ADOT or any affiliate may conceive, develop, acquire or otherwise obtain rights to during the term of this Agreement which relate to the Product or any of its parts or the commercial applications presently utilizing such Product.
