Lead Authority The Pool member (Hertfordshire County Council) who will act as the lead in managing the Pool’s resources and being the key contact between central government and the Pool. Levy A charge made by central government on any increase in business rates income above the NDR Baseline. It is calculated using a nationally set formula, with an upper limit of 50 xxxxx in the pound. All tariff authorities within Hertfordshire are currently liable for levy at this upper limit. Memorandum of Understanding Means this Memorandum of Understanding including these clauses NDR Baseline The expected level of business rates to be collected, as calculated by central government NNDR1 A central government form used to estimate a future year’s business rates. Prepared on an annual basis by all billing authorities. Net Retained Levy The amount of levy retained locally. This is calculated as the sum of levies to be paid by individual Pool members if the Pool did not exist, less the levy to be paid by the Pool, less any safety net funding that would have been due to individual Pool members if the Pool did not exist and less the administrative costs of the Pool. Pool A voluntary arrangement amongst a group of local authorities (Hertfordshire County Council, Broxbourne Borough Council, North Herts District Council, Stevenage Borough Council, Three Rivers District Council and Welwyn Xxxxxxxx Borough Council) to pool the business rates generated locally to ensure at least some of any levy is retained locally. Safety Net The additional funding received by an authority from central government if, in the government’s opinion, the decline in business rates in any financial year would leave an authority with insufficient resources. Calculated using a national formula. Tariff Authority Term A local authority whose Baseline Need is lower than their NDR Baseline, assessed by central government under the Business Rates Retention Scheme (in this pool, Broxbourne Borough Council, North Herts District Council, Stevenage Borough Council, Three Rivers District Council and Welwyn Xxxxxxxx Borough Council). Definitions and Constructions. The Parties and Meter Operator Parties expressly agree and acknowledge that the words and expressions listed below, and which are used for the purposes of this Schedule, shall not be capable of amendment without the consent of Meter Operator Parties, but that any word or expression which is not so listed in this Schedule but is a definition for the purposes of this Agreement and is used primarily for parts of this Agreement other than this Schedule shall, subject to paragraph 2.2.3 and without prejudice to paragraph 2.5, be capable of being amended without such consent notwithstanding that it may also be used in this Schedule:-

2.2 The technical specifications governing the activities carried out by the Clearer and LCH.Clearnet SA are set out in dedicated documents (the “Operating Rules for Derivatives Transactions on Powernext”) available at xxx.xxxxxxxxxxx.xxx. Notwithstanding Article 16.3 of this Admission Agreement, such Operating Rules for Derivatives Transactions on Powernext, as may be amended from time to time at the discretion of LCH.Clearnet SA, shall be contractually binding on the Parties, which may invoke the provisions of these Operating Rules for Derivatives Transactions on Powernext to their benefit, as well as any breach by either Party of the commitments it has undertaken pursuant to them.
2.3 This Admission Agreement and the Operating Rules for Derivatives Transactions on Powernext shall form the “Terms of Business”. The Parties acknowledge and agree that these Terms of Business repeal and replace all previous contracts that the Parties may have entered into regarding the markets managed by Powernext set out in Annex 1.
2.4 In case of any inconsistency between the provisions set out in this Admission Agreement and the Operating Rules for Derivatives Transactions on Powernext, the Operating Rules for Derivatives Transactions on Powernext shall prevail.
2.5 Capitalised terms used in the Terms of Business shall have the meanings set out in the Operating Rules for Derivatives Transactions on Powernext.
2.6 Headings and titles in the Terms of Business are for convenience only and do not affect the interpretation of the Terms of Business.
2.7 The English version of the Terms of Business shall prevail over any translated version.
