Registrable Securities Then Outstanding. The number of shares of “Registrable Securities then outstanding” shall mean the number of shares of Common Stock which are Registrable Securities that are then (1) issued and outstanding or (2) issuable pursuant to the exercise or conversion of then outstanding and then exercisable and qualifying options, warrants or convertible securities.
Registrable Securities Then Outstanding. The number of shares of “Registrable Securities then Outstanding” shall mean the number of Ordinary Shares of the Company that are Registrable Securities and are then issued and outstanding, issuable upon conversion of Preferred Shares then issued and outstanding, or issuable upon conversion or exercise of any warrant, right or other security then outstanding.

The "Registrable Securities Then Outstanding" shall mean the shares of Common Stock that are Registrable Securities and (i) are then issued and outstanding or (ii) are then issuable pursuant to an exercise or conversion of securities exercisable for, or convertible into, Common Stock.

The number of shares of “Registrable Securities Then Outstanding” shall mean the number of shares of Common Stock which are Registrable Securities and (1) are then issued and outstanding, or (2) are then issuable pursuant to the exercise or conversion of then outstanding and then exercisable options, warrants (including but not limited to the TPG Warrants) or then outstanding Preferred Stock or convertible securities (or upon the conversion of Preferred Stock or convertible securities issuable upon the exercise of any such options or warrants, including but not limited to the TPG Warrants); provided, however, that the Excluded Shares shall not be included in, or considered to be, “Registrable Securities Then Outstanding” for purposes of Section 2.2 or Section 2.12 of this Agreement.
