Delays in Issuance of NTP2. If TxDOT does not issue NTP2 before the later of 360 days after the Proposal Due Date or 90 days following issuance of NTP1, and this delay is not caused in whole or in part by an act, omission, negligence, intentional misconduct, or breach of applicable Law, contract or Governmental Approval by any DB Contractor-Related Entity (including DB Contractor’s failure to satisfy any particular condition(s) to NTP2), the Price shall be subject to adjustment, as described in this Section 12.1.6. 12.1.6.1. The Price adjustment shall apply to the period beginning on the date of issuance of NTP2. 12.1.6.2. The Price for Work performed on and after the date of issuance of NTP2 will be adjusted by adding the product of the following to the Price:
