Delegation by the Security Agent. (a) Each of the Security Agent, any Receiver and any Delegate may, at any time, delegate by power of attorney or otherwise to any person for any period, all or any right, power, authority or discretion vested in it in its capacity as such.
(b) That delegation may be made upon any terms and conditions (including the power to sub-delegate) and subject to any restrictions that the Security Agent, that Receiver or that Delegate (as the case may be) may, in its discretion, think fit in the interests of the Secured Parties.
(c) No Security Agent, Receiver or Delegate shall be bound to supervise, or be in any way responsible for any damages, costs or losses incurred by reason of any misconduct, omission or default on the part of, any such delegate or sub-delegate.
Delegation by the Security Agent. Each of the Security Agent, any Receiver and any Delegate may, at any time, delegate by power of attorney or otherwise to any person for any period, all or any right, power, authority or discretion vested in it in its capacity as such.
Delegation by the Security Agent. (a) Each of the Security Agent, any Receiver and any Delegate may, at any time, delegate by power of attorney or otherwise to any person for any period, all or any right, power, authority or discretion vested in it in its capacity as such.
(b) That delegation may be made upon any terms and conditions (including the power to sub-delegate) and subject to any restrictions that the Security Agent, that Receiver or that Delegate (as the case may be) considers in its discretion to be appropriate.
(c) No Security Agent, Receiver or Delegate shall be bound to supervise, or be in any way responsible for any damages, costs or losses incurred by reason of any misconduct, omission or default on the part of, any such delegate or sub-delegate.
Delegation by the Security Agent. (a) Each of the Security Agent, any Receiver and any Delegate may, at any time, delegate by power of attorney or otherwise to any person for any period, all or any right, power, authority or discretion vested in it in its capacity as such.
(b) That delegation may be made upon any terms and conditions (including the power to sub-delegate) and subject to any restrictions that the Security Agent, that Receiver or that Delegate (as the case may be) may, in its discretion, think fit in the interests of the Super Senior Secured Parties (in the case of any right, power, authority or discretion under the Super Senior Additional Security Documents or any other matter related to the Super Senior Additional Security), all the Shared Secured Parties (in the case of any right, power, authority or discretion under the Shared Transaction Security Documents or any other matter related to the Shared Transaction Security) or all the Secured Parties (in all other cases).
(c) No Security Agent, Receiver or Delegate shall be bound to supervise, or be in any way responsible for any damages, costs or losses incurred by reason of any misconduct, omission or default on the part of, any such delegate or sub-delegate.
Delegation by the Security Agent. The Security Agent may delegate to any person on such terms (which may include the power to sub delegate) and subject to such conditions as it thinks fit, all or any of the rights, powers, authorities and discretions vested in it by any of the Finance Documents and shall not be obliged to supervise any such delegate or sub delegate or be responsible to any person for any loss incurred by reason of any act, omission, misconduct or default on the part of any such delegate or sub delegate.
Delegation by the Security Agent. (a) Each of the Security Agent, any Receiver and any Delegate may, at any time, delegate by power of attorney or otherwise to any person for any period, all or any of the rights, powers, authorities and/or discretion vested in it in its capacity as such.
(b) That delegation may be made upon any terms and conditions (including the power to sub-delegate) and subject to any restrictions that the Security Agent, that Receiver or that Delegate (as the case may be) may, in its discretion, think fit in the interests of the Secured Parties.
(c) No Security Agent, Receiver or Delegate shall be bound to supervise, or be in any way responsible for any damages, costs or losses incurred by reason of any misconduct, omission or default on the part of, any such delegate or sub-delegate, provided that the Security Agent, such Receiver or, as the case may be, such Delegate has acted in good faith in the selection of such delegate or, as the case may be, sub-delegate.
Delegation by the Security Agent. (a) Each of the Security Agent, any Receiver and any Delegate may, at any time, delegate by power of attorney or otherwise to any person for any period, all or any right, power, authority or discretion vested in it in its capacity as such except that any delegation may not be made in respect of the Assignment of Services and Right to Use Agreement, the Assignment of Reimbursement Agreement, the Services and Right to Use Direct Agreement and the Reimbursement Agreement Direct Agreement.
(b) Any delegation permitted by Clause 29.20(a) may be made upon any terms and conditions (including the power to sub-delegate) and subject to any restrictions that the Security Agent, that Receiver or that Delegate (as the case may be) may, in its discretion, think fit in the interests of the Secured Parties.
(c) No Security Agent, Receiver or Delegate shall be bound to supervise, or be in any way responsible for any damages, costs or losses incurred by reason of any misconduct, omission or default on the part of, any such delegate or sub-delegate unless caused by the gross negligence or wilful misconduct of the Security Agent or such Receiver or Delegate.

(a) The Security Agent may, at any time, delegate by power of attorney or otherwise to any person that the Security Agent determines in its sole discretion is reasonably reputable for any period, all or any right, power, authority or discretion vested in it in its capacity as such.
(b) That delegation may be made upon any terms and conditions (including the power to sub-delegate) and subject to any restrictions that the Security Agent, may, in its discretion, think fit in the interests of the Finance Parties.
(c) The Security Agent shall not be bound to supervise, or be in any way responsible for any damages, costs or losses incurred by reason of any misconduct, omission or default on the part of, any such delegate or sub-delegate.
Delegation by the Security Agent. (a) The Security Agent may, at any time, delegate by power of attorney or otherwise to any person for any period, all or any right, power, authority or discretion vested in it in its capacity as such.
(b) That delegation may be made upon any terms and conditions (including the power to sub-delegate) and subject to any restrictions that the Security Agent may, in its discretion, think fit in the interests of the Finance Parties.
(c) The Security Agent shall not be bound to supervise, or be in any way responsible for any damages, costs or losses incurred by reason of any misconduct, omission or default on the part of, any such delegate or sub-delegate.
Delegation by the Security Agent. The Security Agent may delegate, by power of attorney or in any other manner, to any person or persons all or any of the powers, authorities and discretions which are exercisable by the Security Agent under mis Deed in relation to all or any part of the Security Assets. Any such delegation may be made upon such terms (including the power to sub-delegate), and subject to such regulations, as the Security Agent may think fit. The Security Agent will not be liable or responsible to the Chargor for any loss or damage, arising from any act, default, omission or misconduct on the part of any delegate or sub-delegate.
