Common use of Deliverables and Work Product Title Passing Clause in Contracts

Deliverables and Work Product Title Passing. Title to all Deliverables provided by Contractor to the Department must pass to and vest in the Department upon Acceptance of the applicable Deliverable, unless otherwise provided in the Contract. Title to other Work Products must pass to and vest in the Department upon the Delivery Date of the applicable Work Product. Contractor must take all actions necessary and transfer ownership of such Deliverables to the Department upon their Acceptance and such other Work Products on their Delivery Dates.
