Deliverables by Parent. In order to effectuate the contributions and exchanges described in Section 1.1 of this Agreement, contemporaneously with the execution and delivery of this Agreement, Parent shall deliver or cause to be delivered to each Holder, a stock certificate in the name of such Holder for the number of fully paid and non-assessable shares of Parent Class A Common Stock or Parent Class B Common Stock, as applicable, to be issued to such Holder in accordance with the terms and conditions set forth in this Agreement.
