Common use of Delivery by Buyer Clause in Contracts

Delivery by Buyer. At the Closing, Buyer shall deliver or cause to be delivered to Seller the following: (i) the Closing Cash Payment, in accordance with Section 2.5(b); (ii) the Ancillary Agreements, duly executed by Buyer or any of its Affiliates, as the case may be; and (iii) the certificate required pursuant to Section 7.3(c).

Delivery by Buyer. At the Closing, Buyer shall deliver will deliver, or cause to be delivered delivered, to Seller the following: (ia) the Closing Cash Payment, Purchase Price in accordance with Section 2.5(bcash by wire transfer of immediately available funds (to Seller’s account set forth on Exhibit A attached hereto); (iib) the Ancillary Agreements, duly executed by Buyer or any of its Affiliates, as the case may beofficer’s certificate referred to in Sections 5.2(a) and 5.2(b) in form and substance reasonably satisfactory to Seller; and (iiic) duly executed counterparts of the certificate required pursuant Transaction Documents to Section 7.3(c)which Buyer is a party.

Delivery by Buyer. At the Closing, Buyer shall deliver or cause to be delivered to Seller the following: (i) the Closing Cash Payment, Payment in accordance with Section 2.5(b); (ii) the Ancillary Agreements, duly executed by Buyer or any of its Affiliates, as the case may be; and (iii) the certificate various certificates, instruments and documents required pursuant to Section 7.3(c)8.3.

Delivery by Buyer. At the Closing, Buyer shall deliver or cause to be delivered to Seller the following: (i) a. the Closing Cash Payment, Purchase Price in accordance with Section 2.5(b)the form required by paragraph 3.2 of this Agreement; (ii) the Ancillary Agreements, duly executed b. all other documents required by Buyer or any of its Affiliates, as the case may bethis Agreement; and (iii) c. all other items reasonably requested by Seller's attorneys and the certificate required pursuant to Section 7.3(c)Title Company's administrative requirements for consummating the Closing.
