Common use of Delivery of Collateral Obligation Files Clause in Contracts

Delivery of Collateral Obligation Files. (a) The Servicer (on behalf of each Loan Party) shall deliver to the Collateral Custodian, on or prior to the applicable Funding Date (but no more than five (5) Business Days after such Funding Date, except as set forth in Section 10.20) the Collateral Obligation Files for each Collateral Obligation listed on the Schedule of Collateral Obligations attached to the related Asset Approval Request. In connection with each delivery of a Collateral Obligation File to the Collateral Custodian, the Servicer shall represent and warrant that the Collateral Obligation Files delivered to the Collateral Custodian include all of the documents listed in the related Document Checklist and all of such documents and the information contained in the Schedule of Collateral Obligations are complete and correct in all material respects pursuant to a certification substantially in the form of Exhibit H executed by a Responsible Officer of the Servicer; provided that, notwithstanding the foregoing, the Borrower shall cause the documentation required by this clause (a) to be in the possession of the Collateral Custodian not later than (A) five (5) Business Days if the Servicer or its Affiliate is the agent with respect to such Loan and (B) otherwise, fifteen (15) days, in each case after the related Cut-Off Date as to any Loans.
