DELIVERY OF CONTRIBUTION CONSIDERATION. (b) At or prior to the Closing, the Operating Partnership shall deliver, or cause to be delivered, to Contributor all documents necessary or appropriate to consummate the Closing, including the following, all in form and substance acceptable to the Contributor: (i) an executed copy Assignment and Assumption of such amendment Membership Interests; (ii) the Contribution Consideration; and (iii) any other documents reasonably requested by the Contributor as may be reasonably necessary or proper to each Contributor.
