Delivery of Escrow Agreement. The Stockholders and the Escrow Agent shall have executed and delivered to Parent an agreement in the form attached hereto as Annex III. Stockholders agree that, notwithstanding any term in this Agreement to the contrary, their payment obligations under Section 7.12 and Section 7.11 shall survive the Closing for a period of six months.
Delivery of Escrow Agreement. Subject to Section 1.6(d), the Escrow Agreement shall have been duly executed and delivered by each of Barry R. Steinberg, the Company and the Escrow Agent.

Delivery of Escrow Agreement. The Shareholders shall have entered into the Escrow Agreement, dated the Closing Date, in substantially the form and substance of EXHIBIT E (the "ESCROW AGREEMENT").
Delivery of Escrow Agreement. Parent shall have executed and delivered to Stockholders an agreement in the form attached hereto as Annex III.
4. MODIFICATION OF SECTION 17.6.
4.1 The following sentence is appended to Section 17.6 of the Restated Agreement: "The foregoing provisions of this Section 17.6 are subject to and qualified by the terms of Section 7.11, Section 9.14, and the provisions of the Escrow Agreement."
5. ADDITION OF SECTION 9.14.
5.1 The following is added as Section 9.14 of the Agreement:
Delivery of Escrow Agreement. Simultaneously with the execution and delivery hereof, the Investor, the Company and the Company's counsel are entering into an escrow agreement in the form of Exhibit H hereto relating to the $45,000 deposited in escrow pursuant to Section 1.1 above and the manner in which the Company's use of such funds is expressly limited.
Delivery of Escrow Agreement. The Escrow Agreement shall have been duly executed and delivered by all of the parties thereto and such agreement shall be in effect as of the Closing.
