Common use of Delivery of Interim Information Clause in Contracts

Delivery of Interim Information. From the date of this Agreement until the Closing, Seller shall furnish Buyer monthly reports concerning the operating performance of the Business. Such reports shall contain such data as are typically reported to GTE management with respect to the Purchased Exchanges, including access line counts and service measures. Seller shall provide Buyer reasonable access to Seller's management in order to discuss such data. In the event of any significant deterioration in operating performance, Seller shall consult with Buyer concerning its response. All information provided in accordance with this Section 5.9 shall be subject to the Confidentiality Agreement and to compliance with applicable antitrust Laws.
