DELIVERY OF NOTICES OF PROCEEDINGS. Manager shall promptly notify the Owners, and their respective Boards of (a) any proceedings instituted by, in or before any Governmental Authority, including the FCC, (b) any notices of default received by Manager with respect to alleged defaults under or violations of any FCC Licenses, Permits or any material Contracts or alleged defaults with respect to any evidence of material indebtedness or any mortgage, indenture or other agreement relating thereto or (c) any material adverse change in the condition, financial or otherwise, of the Stations (which determination shall be made from and after the date of the most recent Annual Financial Report provided to the Owners).

  • Delivery of Notices All notices, requests, demands, consents, waivers or other communications to or from the parties must be in writing and will be considered given:

  • Mailing of Notices, etc All notices and other communications from the Company to the Registered Holder shall be mailed by first-class certified or registered mail, postage prepaid, to the address last furnished to the Company in writing by the Registered Holder. All notices and other communications from the Registered Holder or in connection herewith to the Company shall be mailed by first-class certified or registered mail, postage prepaid, to the Company at its principal office set forth below.
