Common use of Delivery of replacements Clause in Contracts

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note Certificates) and Condition 13 (Replacement of Notes) and receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessary), complete, authenticate and deliver, or procure the authentication and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither the Registrar nor the Transfer Agent shall deliver any Global Note Certificate or Individual Note Certificate as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note Certificate or Individual Note Certificate until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, with such evidence and indemnity as the Current Issuer and the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note Certificates) and Condition 13 (Replacement of Notes) and receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be shall, upon and in accordance with the instructions of the Current Master Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Master Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessary), complete, authenticate and deliver, or procure the authentication and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current an Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Certificate which the Current Master Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither the Registrar nor the Transfer Agent shall deliver any Global Note Certificate or Individual Note Certificate as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note Certificate or Individual Note Certificate until the applicant has furnished the Current Master Issuer, Registrar or Transfer Agent, as the case may be, with such evidence and indemnity as the Current Master Issuer and the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note Certificates) and Condition 13 11 (Replacement Replacements of Notes) and receipt of replacement Global Note Certificates Notes and/or Individual Note Certificates Definitive Notes (as the case may be), the Registrar or the Transfer Agent, as the case may be shall, shall upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent Issuer and the Registrar may reasonably require and otherwise as required by Condition 13 11 (Replacement Replacements of Notes), as necessary), complete, authenticate authenticate, (in the case of each Global Class A Note) effectuate and deliver, or procure the authentication authentication, (in the case of each Global Class A Note) effectuation and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note Certificatea Definitive Note, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Definitive Note Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Definitive Note Certificate which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither the Registrar nor the Transfer Agent shall not deliver any Global Note Certificate or Individual Definitive Note Certificate as a replacement for any Global Note Certificate or Individual Definitive Note Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note Certificate or Individual Definitive Note Certificate until the applicant has furnished the Current Issuer, Registrar Issuer or Transfer AgentRegistrar, as the case may be, with such evidence and indemnity as the Current Issuer and the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note Certificates) and 6, Condition 13 11 (Replacement of Notes) and Residual Certificates Condition 10 (Replacement of Residual Certificates) and receipt of replacement Global Note Certificates Notes, Global Residual Certificates, Definitive Notes and/or Individual Note Definitive Residual Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be shall, shall upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent Issuer and the Registrar may reasonably require and otherwise as required by Condition 13 11 (Replacements of Notes) or Residual Certificates Condition 10 (Replacement of NotesResidual Certificates), as necessary), complete, authenticate authenticate, (in the case of each Global Class A Note) effectuate and deliver, or procure the authentication authentication, (in the case of each Global Class A Note) effectuation and delivery on their behalf of, a Global Note, a Global Residual Certificate, a Definitive Note or a Definitive Residual Certificate or, (as the case may be, an Individual Note Certificate, ) as a replacement for (and being a Current Issuer Note (other than the Class S VFN) or Residual Certificate in the same form as) the relevant Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or, (as the case may be, Individual Note Certificate ) which the Current Issuer has determined to issue as a replacement for any Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or Individual Note Certificate (as the case may be) which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither the Registrar nor the Transfer Agent shall not deliver any Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or Individual Note Certificate (as the case may be) as a replacement for any Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or Individual Note Certificate (as the case may be) which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note, Global Residual Certificate, Definitive Note Certificate or Individual Note Definitive Residual Certificate until the applicant has furnished the Current Issuer, Registrar Issuer or Transfer AgentRegistrar, as the case may be, with such evidence and indemnity as the Current Issuer and the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to receipt of sufficient Temporary Global Notes, Permanent Global Notes, Definitive Notes and Coupons in accordance with this Clause 6 3.9 (Duties of Principal Paying Agent and Replacement Note Certificates) and Condition 13 (Replacement of Notes) and receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may beAgent), the Registrar or the Transfer Agent, as the case may be Replacement Agent shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as indemnity) of the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessary), completeIssuer but not otherwise, authenticate (if necessary) and deliverdeliver a Temporary Global Note, Permanent Global Note, Definitive Note or procure the authentication and delivery on their behalf of, a Global Note Certificate or, Coupon as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Certificate of the same which has been mutilated or defaced or which is has or has been alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither that: (a) Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note or Coupon as the Registrar nor the Transfer Agent case may be, shall deliver any Global Note Certificate or Individual Note Certificate be delivered as a replacement for any Global Note Certificate or Individual Note Certificate of the same which has been mutilated or defaced otherwise than against surrender of the same and or, in the case of an NGN Temporary Global Note or an NGN Permanent Global Note, appropriate confirmation of destruction from the Common Safekeeper; and (b) Effectuation: any replacement NGN Temporary Global Note or NGN Permanent Global Note shall be delivered to the Common Safekeeper together with instructions to effectuate it. The Replacement Agent shall not issue a replacement for any replacement Global Note Certificate or Individual Note Certificate of the same until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, Replacement Agent with such evidence and indemnity as the Current Issuer and and/or the Transfer Replacement Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note Certificates) and Condition 13 (Replacement of Notes) and receipt of replacement Global Note Certificates and/or Individual Note Definitive Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be Replacement Agent shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of costs and expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessaryindemnity), complete, authenticate and deliver, or procure the authentication and delivery on their behalf of, deliver a Global Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note or Definitive Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Definitive Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Registerlost; provided, however, that neither the Registrar nor the Transfer Replacement Agent (i) shall not deliver any Global Note Certificate or Individual Note Definitive Certificate as a replacement for any Global Note Certificate or Individual Note Definitive Certificate which has been mutilated or defaced otherwise than against surrender of the same same; (ii) shall not deliver any replacement Global Certificate which has been or is alleged to have been destroyed, stolen or lost and in respect of which the serial number is known or believed to be known until it shall have verified that the Note in respect of which such Global Certificate or Definitive Certificate is issued has not been redeemed or purchased and cancelled and (iii) shall not issue any replacement Global Note Certificate or Individual Note Definitive Certificate until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, Replacement Agent with such evidence evidence, security and indemnity as the Current Issuer and and/or the Transfer Replacement Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note Certificates) and 6, Condition 13 11 (Replacement of Notes) and Residual Certificates Condition 10 (Replacement of Residual Certificates) and receipt of replacement Global Note Certificates Notes, Global Residual Certificates, Definitive Notes and/or Individual Note Definitive Residual Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be shall, shall upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent Issuer and the Registrar may reasonably require and otherwise as required by Condition 13 11 (Replacements of Notes) or Residual Certificates Condition 10 (Replacement of NotesResidual Certificates), as necessary), complete, authenticate authenticate, (in the case of each Global Class A1 Note and each Global Class A2 Note) effectuate and deliver, or procure the authentication authentication, (in the case of each Global Class A1 Note and each Global Class A2 Note) effectuation and delivery on their behalf of, a Global Note, a Global Residual Certificate, a Definitive Note or a Definitive Residual Certificate or, (as the case may be, an Individual Note Certificate, ) as a replacement for (and being a Current Issuer Note (other than the Class S VFN) or Residual Certificate in the same form as) the relevant Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or, (as the case may be, Individual Note Certificate ) which the Current Issuer has determined to issue as a replacement for any Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or Individual Note Certificate (as the case may be) which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither the Registrar nor the Transfer Agent shall not deliver any Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or Individual Note Certificate (as the case may be) as a replacement for any Global Note, Global Residual Certificate, Definitive Note or Definitive Residual Certificate or Individual Note Certificate (as the case may be) which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note, Global Residual Certificate, Definitive Note Certificate or Individual Note Definitive Residual Certificate until the applicant has furnished the Current Issuer, Registrar Issuer or Transfer AgentRegistrar, as the case may be, with such evidence and indemnity as the Current Issuer and the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to receipt of sufficient Temporary Global Notes, Permanent Global Notes, Definitive Notes and Coupons in accordance with this Clause 6 clause 4.9 (Duties of Fiscal Agent and Replacement Note Certificates) and Condition 13 (Replacement of Notes) and receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may beAgent), the Registrar or the Transfer Agent, as the case may be Replacement Agent shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as indemnity) of the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessary), completeIssuer but not otherwise, authenticate (if necessary) and deliverdeliver a Temporary Global Note, Permanent Global Note, Definitive Note or procure the authentication and delivery on their behalf of, a Global Note Certificate orCoupon, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Certificate of the same which has been mutilated or defaced or which is has or has been alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither that: (a) Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note, or Coupon, as the Registrar nor the Transfer Agent case may be, shall deliver any Global Note Certificate or Individual Note Certificate be delivered as a replacement for any Global Note Certificate or Individual Note Certificate of the same which has been mutilated or defaced otherwise than against surrender of the same and or, in the case of an NGN Temporary Global Note or an NGN Permanent Global Note, appropriate confirmation of destruction from the Common Safekeeper; and (b) Effectuation: any replacement NGN Temporary Global Note or NGN Permanent Global Note shall be delivered to the Common Safekeeper together with instructions to effectuate it. The Replacement Agent shall not issue a replacement for any replacement Global Note Certificate or Individual Note Certificate of the same until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, Replacement Agent with such evidence and indemnity as the Current Issuer and and/or the Transfer Replacement Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and receipt from the Issuer in accordance with this Clause 6 3.2 (Replacement Note Availability of Definitive Certificates) and Condition 13 (Replacement of Notes) and receipt of a replacement Global Note Certificates Certificate and/or Individual Note Definitive Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be Replacement Agent shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of costs and expenses and as to evidence, security and indemnity as satisfactory to the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessaryAgent), complete, authenticate and deliver, deliver the Global Certificate or procure the authentication and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Definitive Certificate which the Current Issuer has determined to issue as a replacement for any a Global Note Certificate or Individual Note Definitive Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Registerlost; provided, however, that neither the Registrar nor the Transfer Replacement Agent (i) shall not deliver any a Global Note Certificate or Individual Note Definitive Certificate as a replacement for any a Global Note Certificate or Individual Note Definitive Certificate which has been mutilated or defaced otherwise than against surrender of the same same; (ii) shall not deliver a replacement Global Certificate or Definitive Certificate which has been or is alleged to have been destroyed, stolen or lost and in respect of which the serial number is known or believed to be known until it shall have verified that the Note in respect of which such Global Certificate or Definitive Certificate is issued has not been redeemed or purchased and cancelled; and (iii) shall not issue any replacement Global Note Certificate or Individual Note Definitive Certificate until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, Replacement Agent with such evidence evidence, security and indemnity and otherwise as may be required by or on behalf of the Current Issuer and and/or the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note CertificatesREPLACEMENT NOTE CERTIFICATES) and Condition 13 (Replacement of NotesREPLACEMENT OF NOTES) and receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of NotesREPLACEMENT OF NOTES), as necessary), complete, authenticate and deliver, or procure the authentication and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; providedPROVIDED, howeverHOWEVER, that THAT neither the Registrar nor the Transfer Agent shall deliver any Global Note Certificate or Individual Note Certificate as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note Certificate or Individual Note Certificate until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, with such evidence and indemnity as the Current Issuer and the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and in accordance with this Clause 6 (Replacement Note Certificates) and Condition 13 11 (Replacement Replacements of Notes) and receipt of replacement Global Note Certificates Notes and/or Individual Note Certificates Definitive Notes (as the case may be), the Registrar or the Transfer Agent, as the case may be shall, shall upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent Issuer and the Registrar may reasonably require and otherwise as required by Condition 13 11 (Replacement Replacements of Notes), as necessary), complete, authenticate and deliver, or procure the authentication and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note CertificateDefinitive Note, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Definitive Note Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Definitive Note Certificate which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither the Registrar nor the Transfer Agent shall not deliver any Global Note Certificate or Individual Definitive Note Certificate as a replacement for any Global Note Certificate or Individual Definitive Note Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note Certificate or Individual Definitive Note Certificate until the applicant has furnished the Current Issuer, Registrar Issuer or Transfer AgentRegistrar, as the case may be, with such evidence and indemnity as the Current Issuer and the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to receipt of sufficient Temporary Global Notes, Permanent Global Notes, Definitive Notes, Coupons, Global Registered Notes and Individual Note Certificates in accordance with this Clause 6 4.9 (Duties of Fiscal Agent, Registrar and Replacement Note Certificates) and Condition 13 (Replacement of Notes) and receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may beAgent), the Registrar or the Transfer Agent, as the case may be Replacement Agent shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as indemnity) of the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessary), completeIssuer but not otherwise, authenticate (if necessary) and deliverdeliver a Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note or procure the authentication and delivery on their behalf of, a Global Individual Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Certificate which the Current Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Certificate of the same which has been mutilated or defaced or which is has or has been alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Register; provided, however, that neither the Registrar nor the Transfer Agent shall deliver any that: (a) Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note, Coupon, Global Registered Note Certificate or Individual Note Certificate as the case may be, shall be delivered as a replacement for any Global Note Certificate or Individual Note Certificate of the same which has been mutilated or defaced otherwise than against surrender of the same and or, in the case of an NGN Temporary Global Note or an NGN Permanent Global Note, or a Global Registered Note to be held under the NSS, appropriate confirmation of destruction from the Common Safekeeper; and (b) Effectuation: any replacement NGN Temporary Global Note or NGN Permanent Global Note, or a Global Registered Note to be held under the NSS shall be delivered to the Common Safekeeper together with instructions to effectuate it. The Replacement Agent shall not issue a replacement for any replacement Global Note Certificate or Individual Note Certificate of the same until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, Replacement Agent with such evidence and indemnity as the Current Issuer and Issuer, the Transfer Guarantor and/or the Replacement Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to and receipt from the Issuer, in accordance with this Clause 6 (Replacement Note Certificates) and Condition 13 (Replacement 3.2, of Notes) and receipt of a replacement Global Note Certificates Certificate and/or Individual Note Definitive Certificates (as the case may be), the Registrar or the Transfer Agent, as the case may be Replacement Agent shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notes), as necessaryindemnity), complete, authenticate and deliver, deliver the Global Certificate or procure the authentication and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Definitive Certificate which the Current Issuer has determined to issue as a replacement for any a Global Note Certificate or Individual Note Definitive Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Registerlost; provided, however, that neither the Registrar nor the Transfer Replacement Agent (i) shall not deliver any a Global Note Certificate or Individual Note Definitive Certificate as a replacement for any a Global Note Certificate or Individual Note Definitive Certificate which has been mutilated or defaced otherwise than against surrender of the same same; (ii) shall not deliver a replacement Global Certificate or Definitive Certificate which has been or is alleged to have been destroyed, stolen or lost and in respect of which the serial number is known or believed to be known until it shall have verified that the Notes in respect of which such Global Certificate or Definitive Certificate is issued have not been redeemed or purchased and cancelled; and (iii) and shall not issue any replacement Global Note Certificate or Individual Note Definitive Certificate until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, Replacement Agent with such evidence evidence, security and indemnity and otherwise as may reasonably be required by or on behalf of the Current Issuer and and/or the Transfer Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and documented expenses as may be properly incurred in connection with such replacement.

Delivery of replacements. Subject to receipt of sufficient replacement Temporary Global Notes, Permanent Global Notes, Definitive Notes, and Coupons in accordance with this Clause 6 3.5 (Replacement Note Certificates) and Condition 13 (Replacement of Notes) and receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may beAvailability), the Registrar or the Transfer Agent, as the case may be Replacement Agent shall, upon and in accordance with the instructions of the Current Issuer (which instructions may, without limitation, include such terms as to the payment of expenses and as to evidence, security and indemnity as the Current Issuer, the Transfer Agent and the Registrar may reasonably require and otherwise as required by Condition 13 (Replacement of Notesindemnity), as authenticate (if necessary)) and deliver a Temporary Global Note, completePermanent Global Note, authenticate and deliver, Definitive Note or procure the authentication and delivery on their behalf of, a Global Note Certificate or, as the case may be, an Individual Note Certificate, as a replacement for (and being a Current Issuer Note in the same form as) the relevant Global Note Certificate or, as the case may be, Individual Note Certificate which the Current Issuer has determined to issue Coupon as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note Certificate or Individual Note Certificate Coupon which has been mutilated or defaced or which is alleged to have been destroyed, stolen or lost and the Registrar shall, in addition, as promptly as is practicable, enter such details on the Registerlost; provided, however, that neither that: 5.1.1 Surrender or destruction: no Temporary Global Note, Permanent Global Note, Definitive Note or Coupon, as the Registrar nor the Transfer Agent case may be, shall deliver any Global Note Certificate or Individual Note Certificate be delivered as a replacement for any Temporary Global Note, Permanent Global Note, Definitive Note Certificate or Individual Note Certificate Coupon which has been mutilated or defaced otherwise than against surrender of the same or, in the case of a Temporary Global Note or a Permanent Global Note, appropriate confirmation of destruction from the Common Safekeeper and in any case the Replacement Agent shall not issue any replacement Temporary Global Note, Permanent Global Note, Definitive Note Certificate or Individual Note Certificate Coupon until the applicant has furnished the Current Issuer, Registrar or Transfer Agent, as the case may be, Replacement Agent with such evidence and indemnity as the Current Issuer and and/or the Transfer Replacement Agent or the Registrar (as the case may be) may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.; and
