Delivery of replacements. Subject to receipt of replacement Global Certificates and/or Individual Certificates (as the case may be), the Registrar shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), complete, authenticate and deliver a Global Certificate or Individual Certificate which the Issuer has determined to issue as a replacement for any Global Certificate or Individual Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost; provided, however, that the Registrar shall not deliver any Global Certificate or Individual Certificate as a replacement for any Global Certificate or Individual Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Certificate or Individual Certificate until the applicant has furnished the Registrar with such evidence and indemnity as the Issuer and/or the Registrar may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Delivery of replacements. Subject to receipt of replacement Global Warrant Certificates and/or Individual Warrant Certificates (as the case may be), the Registrar shall, upon and in accordance with the written instructions of the Issuer Company (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), complete, authenticate and deliver a Global Warrant Certificate or Individual Warrant Certificate which the Issuer Company has determined to issue as a replacement for any Global Warrant Certificate or Individual Warrant Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost; provided, however, provided that the Registrar Agent shall not deliver any Global Warrant Certificate or Individual Warrant Certificate as a replacement for any Global Warrant Certificate or Individual Warrant Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Warrant Certificate or Individual Warrant Certificate until the applicant has furnished the Registrar Agent with such evidence and indemnity as the Issuer Company and/or the Registrar Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Subject to receipt of replacement Global Note Certificates and/or Individual Note Certificates (as the case may be), the Registrar shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), complete, authenticate and deliver a Global Note Certificate or Individual Note Certificate which the Issuer has determined to issue as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost; provided, however, that the Registrar shall not deliver any Global Note Certificate or Individual Note Certificate as a replacement for any Global Note Certificate or Individual Note Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Note Certificate or Individual Note Certificate until the applicant has furnished the Registrar with such evidence and indemnity as the Issuer and/or the Registrar may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Subject to receipt of replacement Global Certificates Notes and/or Individual Note Certificates (as the case may be), the Registrar shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), complete, authenticate and deliver a Global Certificate Note or Individual Note Certificate which the Issuer has determined to issue as a replacement for any Global Certificate Note or Individual Note Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost; provided, however, that the Registrar shall not deliver any Global Certificate Note or Individual Note Certificate as a replacement for any Global Certificate Note or Individual Note Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement Global Certificate Note or Individual Note Certificate until the applicant has furnished the Registrar with such evidence (including evidence as to the serial number of the Global Note or the Note Certificate in question) and indemnity as the Issuer and/or the Registrar on the Issuer’s behalf may reasonably require and has paid such costs and expenses (including legal expenses, if applicable) as may be incurred in connection with such replacement.

Subject to receipt of replacement Global Warrant Certificates and/or Individual Warrant Certificates (as the case may be), the Registrar Replacement Agent shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), complete, authenticate and deliver a Global Warrant Certificate or Individual Warrant Certificate which the Issuer has determined to issue as a replacement for any the Global Warrant Certificate or Individual Warrant Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost; provided, however, that the Registrar a Replacement Agent shall not deliver any Global Warrant Certificate or Individual Warrant Certificate as a replacement for any Global Warrant Certificate or Individual Warrant Certificate which has been mutilated or defaced otherwise other than against surrender of the same and shall not issue any replacement Global Warrant Certificate or Individual Warrant Certificate until the applicant has furnished the Registrar Replacement Agent with such evidence and indemnity as the Issuer Issuer, each Subsidiary Guarantor and/or the Registrar Replacement Agent may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.

Subject to receipt of replacement New Global Certificates and/or New Individual Certificates (as the case may be), the Registrar shall, upon and in accordance with the instructions of the Issuer (which instructions may, without limitation, include terms as to the payment of expenses and as to evidence, security and indemnity), complete, authenticate and deliver a New Global Certificate or New Individual Certificate which the Issuer has determined to issue as a replacement for any New Global Certificate or New Individual Certificate which has been mutilated or defaced or which has been or is alleged to have been destroyed, stolen or lost; provided, however, that the Registrar shall not deliver any New Global Certificate or New Individual Certificate as a replacement for any New Global Certificate or New Individual Certificate which has been mutilated or defaced otherwise than against surrender of the same and shall not issue any replacement New Global Certificate or New Individual Certificate until the applicant has furnished the Registrar with such evidence and indemnity as the Issuer and/or the Registrar may reasonably require and has paid such costs and expenses as may be incurred in connection with such replacement.
