Common use of Delivery or Destruction Infeasible Clause in Contracts

Delivery or Destruction Infeasible. If the Administrator believes that the delivery or destruction of any Confidential Information is not feasible (including Confidential Information that is retained on secure backup media in accordance with standard backup procedures in a manner that makes it impractical for the Administrator to delete the Confidential Information), 608463 or if the Administrator is required by applicable law, accounting rules, or other professional rules to retain a record copy of any Confidential Information for some period, the Administrator may retain a copy of such Confidential Information subject to the restrictions of this article 9 until the Confidential Information becomes public or otherwise ceases to be Confidential Information as defined in [in this Agreement] or is returned to the Managing Member or destroyed as provided in the above clause. Indefinite Duration. The terms of this article survive the expiration or other termination of the Agreement indefinitely as to any Confidential Information that remains in the Administrator’s possession or control until the Confidential Information becomes public or otherwise ceases to be Confidential Information.
