Delivery Time. 10.1 The delivery time shall run from the latest of: (a) the date of execution of the Agreement by the Seller; (b) the date of receipt by the Seller of the agreed down payment as set forth in the Agreement; or (c) the date of receipt by the Seller of all agreed information and approval by the Buyer of the general drawings. 10.2 The Seller shall be entitled to a reasonable extension of the term of delivery (which shall not be shorter than the length of the delay) if the delivery is delayed for any reason ascribable to the Buyer or any third party under the control of the Buyer, such as modifications requested by the Buyer, delay in the approval of the relevant drawings, delay in the preparation work at the installation site and delayed payments, or it becomes evident that the Buyer will not comply with its contractual obligations.
