Delivery vs Payment. Subscription Orders and Redemption Orders will settle on a Delivery versus Payment DVP basis. Instructions are entered into the relevant clearing system by the Registrar who ensures that the AP has entered matching instructions so that the Dealing Order can settle on time. The settlement instructions to be given in CREST for a Subscription Order or Redemption Order on a Settlement date are:
Delivery vs Payment. (a) Unless otherwise agreed between the Company and Fortrend Securities the issue of Shares and payment of subscription moneys on a Drawdown Date will be effected in accordance with the ASTC Settlement Rules and procedures of CHESS (or such other computer based system which provides for the recording and transfer of title by way of electronic entries, delivery and transfer of title, used by the Company from time to time and approved by Fortrend Securities). (b) Options to be issued under clause 6.2 on a Drawdown Date must be issued to the Subscriber at or prior to the issue of Shares under clause 5(a). (c) Without limiting clause 18.5 (Set-off) the Subscriber may deduct the placement fee payable under clause 6.1 from the amount payable on the first Drawdown Date. Fortrend Securities may effect this set off as agent for the Subscriber.

  • Failure to Deliver Conversion Shares If, in the case of any Notice of Conversion, such Conversion Shares are not delivered to or as directed by the applicable Holder by the Share Delivery Date, the Holder shall be entitled to elect by written notice to the Company at any time on or before its receipt of such Conversion Shares, to rescind such Conversion, in which event the Company shall promptly return to the Holder any original Debenture delivered to the Company and the Holder shall promptly return to the Company the Conversion Shares issued to such Holder pursuant to the rescinded Conversion Notice.

  • Delivery Conditions Each delivery of the Goods shall be accompanied with a delivery note, which shall be confirmed by both Parties upon handover and takeover of the Goods, and shall be used as the Goods handover protocol. Each delivered consignment will be properly marked with the indication of the subject of performance, the manufacturer and information about its weight. The performance of the Seller is considered fulfilled if it is delivered on time and properly, i.e. free of any defects in quantity in accordance with the agreement of the Parties under paragraph 6 of this article, quality or legal defects, including accompanying written documents. The ownership title to the Goods supplied on the basis of this Contract shall pass on the Buyer at the moment of takeover of the Goods, i.e. at the moment the handover protocol for the Goods (delivery note) is signed by the Buyer. The risk of damage to the Goods shall pass to the Buyer at the same moment.
