Common use of DENIAL OF PARTNERSHIP Clause in Contracts

DENIAL OF PARTNERSHIP. The Parties acknowledge and agree that this Framework Agreement shall not constitute, create or otherwise give effect to a joint venture, pooling arrangement or partnership or similar arrangement between them. Nothing in this Framework Agreement is intended or shall be construed to create a relationship of agency between the Parties. Accordingly, except as expressly authorised herein, neither Party shall have any authority to act or make representations on behalf of the other Party, and nothing herein shall impose any liability on either Party in respect of any liability incurred by the other party to any third party.
