Common use of Denial of Regulatory Approval Clause in Contracts

Denial of Regulatory Approval. If the approval of any Governmental Authority required for consummation of the Merger and the other transactions contemplated hereby is denied by final, nonappealable action of such Governmental Authority; provided that the right to terminate this Agreement under this Section 8.1(d) shall not be available to any party whose failure to comply with any provision of this Agreement has been the cause of, or materially contributed to, the foregoing.

Denial of Regulatory Approval. If the approval of any Governmental Authority required for consummation of the Merger and the other transactions contemplated hereby by this Agreement is denied by final, nonappealable action of such Governmental Authority; provided provided, however, that the right to terminate this Agreement under this Section 8.1(d8.01(f) shall not be available to any party whose failure to comply with any provision of this Agreement has been the cause of, or materially contributed to, the foregoingsuch action.

If the approval of any Governmental Authority Entity required for consummation of the Merger and or the other transactions contemplated hereby is denied by final, nonappealable non-appealable action of such Governmental AuthorityEntity; provided that the right to terminate this Agreement under this Section 8.1(d9.01(c) shall not be available to any party whose failure to comply with any provision of this Agreement has been the cause of, or materially contributed to, the foregoing.

If the approval of any Governmental Authority Entity required for consummation of the Merger and the other transactions contemplated hereby is denied by final, nonappealable non-appealable action of such Governmental AuthorityEntity; provided that the right to terminate this Agreement under this Section 8.1(d9.01(c) shall not be available to any party whose failure to comply with any provision of this Agreement has been the cause of, or materially contributed to, the foregoing.

Denial of Regulatory Approval. If the approval of any Governmental Authority required for consummation of the Merger, the Bank Merger and the other transactions contemplated hereby is denied by final, nonappealable action of such Governmental Authority; provided that the right to terminate this Agreement under this Section 8.1(d8.01(e) shall not be available to any party whose failure to comply with any provision of this Agreement has been the cause of, or materially contributed to, the foregoingsuch action.

Denial of Regulatory Approval. If the approval of any Governmental Authority required for consummation of the Merger and the other transactions contemplated hereby is denied by final, nonappealable action of such Governmental Authority; provided PROVIDED that the right to terminate this Agreement under this Section 8.1(d) shall not be available to any party whose failure to comply with with, or whose breach of any representation, warranty, covenant or agreement contained in, any provision of this Agreement has been the cause of, or materially contributed to, the foregoing.

If By Parent or Company, if the approval of any Governmental Authority required for consummation of the Merger and the other transactions contemplated hereby is denied by final, nonappealable action of such Governmental Authority; provided provided, that the right to terminate this Agreement under this Section 8.1(d8.01(d) shall not be available to any party whose failure to comply with any provision of this Agreement has been the cause of, or materially contributed to, the foregoingsuch action.

Denial of Regulatory Approval. If By Acquiror or the approval of Company, if any Governmental Authority required for consummation of the Merger and the other transactions contemplated hereby Requisite Regulatory Approval is denied by final, nonappealable action of such Governmental Authority; provided that the right to terminate this Agreement under pursuant to this Section 8.1(d8.01(f) shall not be available to any party whose failure to comply with that has breached in any provision of material respect its obligations under this Agreement has been in any manner that shall have proximately contributed to the cause of, or materially contributed to, occurrence of the foregoingfailure of such Requisite Regulatory Approvals to be obtained.
