Common use of Depositary to Execute Amendments Clause in Contracts

Depositary to Execute Amendments. The Depositary shall duly execute and deliver any amendment authorized pursuant to Section 4.13, if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Depositary. If it does, the Depositary may but need not execute and deliver such amendment. In executing and delivering such amendment the Depositary shall be entitled to receive, and shall be fully protected in reasonably relying upon, an Officers' Certificate (which need only cover the matters set forth in clause (a) below) and an Opinion of Counsel stating that:
